MEMORANDUM of AGREEMENT
for
Safety Maintenance 2006-2007
The undersigned party (hereafter referred to as "Client") hereby agrees to
the development and implementation of safety programs,employee safety
training and safety maintenance(not to exceed 8 hours per month) by Du-All
Safety, as described in the Services Summary below:
I. Services Summary:
• Any legal or company specific revisions to,or development of,the written
safety programs as directed by the Safety Committee. Including the IIPP,
HMMP,HazCom,PPE,SWPP,BBP,Emergency Response,Evacuation Plan,
Lock &Tag, Respiratory Protection Program, Confined Space Program and
the Exposure Control Plan.
• Regular review of the required OSHA,EPA and County Toxic Enforcement
record keeping requirements including:
-OSHA log 200 -Accident Investigations
-Employee Training Records -Communications
-Postings -Manifesting
-Hazardous Material Labeling,Storage,and Inspection records
-MSDSs and Chemical Inventory
• Conducting periodic safety inspections of the employee areas of the Town
facilities. Compliance inspections of the hazardous material and waste,
OSHA required equipment inspections,etc. Inspection findings, risk
assessment,and recommended corrections will be reviewed with,and a
written correction list sent to the safety coordinator of the area inspected.
• Provide safety signs,labels, tags,and postings at no additional cost.
• Provide monthly training at the direction of the safety coordinator. Training
topics to include but not limited to the following topics:
-Hazardous Waste -Injury &Illness Prevention
-Ergonomics -Fire &Evacuation
-Respiratory Protection -Electrical
-Lockout/Tagout -1st Aid/CPR
-Earthquake -Fall Protection
-Machine Tools -DOT Requirements
-Hazardous Materials -Confined Space
-Forklift Certification -Lead Handling
-Bloodborne Pathogens -Workplace Violence

• Help conduct and evaluate evacuation drills per evacuation procedures.
• Maintain copies of all training records,when re-certification is due.
• Prepare all employee training outlines, materials and quarterly training
schedule for approval by the safety coordinator.
• Prepare agenda,materials and attend monthly safety committee meetings.
• Inspect the safety suggestion boxes and forward to the proper safety
coordinator the employee suggestion with a recommended response.
• Du-All Safety will help handle any regulatory agency inspection(i.e. toxic
enforcement,EPA, County Health Dept.,Fire Dept.,Cal/OSHA,etc.).
• Du-All Safety consultants will be available,via phone,M-F,from 7:00 AM to
5:00 PM to assist client with any questions associated with the safety program
as well as be available for special meetings with safety coordinators and
managers/supervisors to help support and review the safety programs and
compliance progress.
H. Billing Procedure:
A. Client agrees to pay a total cost of $1,050. Per month for the services
outlined in the services summary.
B. All safety equipment, signage and other compliance items are the
Clients responsibility to purchase. These items,however,can be
purchased through Du-All Safety.
C. Payment for all services and equipment will be remitted by
Client to Du-All Safety upon receipt of any services or merchandise.
D. At the clients request,additional support hours can be provided at the
reduced maintenance customer rate of$100. per hour.
E. Any additions to this memorandum of agreement will be attached
to the back of the agreement.

III. Integrated Contract
This written agreement is the complete and entire understanding between the
parties and supersedes any oral agreements made prior to the signing of this
agreement. Any changes to this agreement can only be made with the consent of
both parties.
IV. Acceptance
I accept the terms of this agreement. I hereby authorize Du-All Safety to
perform the work stated and I further agree to remit the amounts stated for any
services performed by, or equipment provided by Du-All Safety, in a timely
manner.

RESOLUTION NO.
A RESOLUTION OF
THE CITY COUNCIL OF THE TOWN
OF LOS ALTOS HILLS AUTHORIZING EXECUTION OF AN
AGREEMENT WITH DU-ALL SAFETY FOR THE 2006-2007 FISCAL YEAR
WHEREAS, state and federal regulations require that employers of over ten personnel
have a written safety program, including safety training, monitoring, and inspections; and
WHEREAS, the City Council of the Town of Los Altos Hills has read and considered
that certain Agreement between the Town and Du-All Safety;
NOW,THEREFORE, BE IT RESOLVED by the City Council of the Town of Los
Altos Hills that the City Manager is hereby authorized and directed to execute the
attached Agreement between the Town of Los Altos Hills and DU-ALL Safety on behalf
of the Town of Los Altos Hills.
