AGREEMENT
THIS AGREEMENT is made and entered into on the 3th day of November, 2015 by and
between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as "TOWN") and GODBE
RESEARCH hereinafter referred to as "CONTRACTOR"). In consideration of their mutual
covenants,the parties hereto agree as follows:
1. CONTRACTOR. Contractor shall design and conduct a scientific survey as outlined in
Exhibit"A."
2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a
part of this Agreement:
Proposal from CONTRACTOR as described in Exhibit "A" along with
compensation.
3. TERMS. The services and/or materials furnished under this Agreement shall
commence November 3, 2015 and shall be completed by March 31, 2016 unless
terminated pursuant to Section 5(0.
4. COMPENSATION.
a. TOWN shall pay CONTRACTOR an amount not to exceed thirty thousand dollars and
zero cents ($30,000.00) notwithstanding any contrary indications that may be
contained in CONTRACTOR'S proposal, for services to be performed and
reimbursable costs incurred under this Agreement. In the event of a conflict
between this Agreement and CONTRACTOR'S proposal, attached as Exhibit A
regarding the amount of compensation,the Agreement shall prevail. Town shall pay
CONTRACTOR for services rendered pursuant to this Agreement at the time and in
the manner set forth herein. The payments specified below shall be the only
payments from Town to CONTRACTOR for services rendered pursuant to this
Agreement CONTRACTOR shall submit all invoices to Town in the manner specified
herein. Except as specifically authorized by Town in writing, CONTRACTOR shall
not bill Town for duplicate services performed by more than one person.
h. INVOICES. CONTRACTOR shall submit invoices,not more often than once a month
during the term of this Agreement, based on the cost for services performed and
reimbursable costs incurred prior to the invoice date. Invoices shall contain the
following information:
I. Serial identifications of progress bills;i.e., Progress Bill No. 1 for the
first invoice, etc.;
ii. The beginning and ending dates of the billing period;

iii. A Task Summary containing the original contract amount,the amount
of prior billings,the total due this period,the balance available under
the Agreement,and the percentage of completion;
applicable time entries or time sheets shall be submitted showing the
name of the person doing the work,the hours spent by Bach person, a
brief description of the work,and ach reimbursable expense;
by CONTRACTOR and Bach employee, agent, and subcontractor of
CONTRACTOR performing services hereunder;
vi. The CONTRACTOR'S signature.
c. MONTHLY PAYMENT.Town shall make monthly payments,based on invoices
received for services satisfactorily performed,and for authorized reimbursable
costs incurred. Town shall have 30 days from the receipt of an invoice that complies
with all of the requirements above to pay CONTRACTOR.
d. Town shall not reimburse for any of CONTRACTOR'S costs or expenses to deliver
any services/goods. Town shall not be responsible for any interest or late charges
on any payments from Town to CONTRACTOR.
e. CONTRACTOR is responsible for monitoring its own forces/employees/agents/
subcontractors to ensure delivery of goods/services within the terms of this
Agreement. TOWN will not acceptor compensate CONTRACTOR for incomplete
goods/services.
S. GENERAL TERMS AND CONDITIONS.
a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold harmless
the TOWN, its officers, agents and employees from any and all demands, claims or
liability of personal injury (including death) and property damage of any nature,
caused by or arising out of the performance of CONTRACTOR under this Agreement.
With regard to CONTRACTOR'S work product, CONTRACTOR agrees to indemnify,
defend and hold harmless the TOWN, its officers, agents and employees from any
and all demands, claims or liability of any nature to the extent caused by the
negligent performance of CONTRACTOR under this Agreement.
b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance
before commencing any services under this Agreement as follows:
i. WORKERS COMPENSATION INSURANCE: Minimum statutory limits.
H. COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE
INSURANCE: General Liability and Property Damage Combined.

$1,000,000.00 per occurrence including commercial form, personal
injury, broad form personal damage, contractual and
premises/operation, all on an occurrence basis. If an aggregate limit
exists, it shall apply separately or be no less than two (2) times the
occurrence limit.
iii. AUTOMOBILE INSURANCE:$1,000,000.00 per occurrence.
iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate.
v. NOTICE OF CANCELLATION: The City requires 30 days written notice of
cancellation. Additionally, the notice statement on the certificate should
t include the wording "eni avor to or "but failure to mail such notice
hall impose no obli motion or liability of any kind upon the company, its
agents or representatives."
vi. CERTIFICATE OF INSURANCE: Prior to commencement of services,
evidence of insurance coverage must be shown by a properly executed
certificate of insurance and it shall name "The Town of Los Altos Hills, it
elective and appointed officers, employees, and volunteers" as additional
insureds to the general and auto liability policies.
vii. To prevent delay and ensure compliance with this Agreement, the
insurance certificates and endorsement must be submitted to:

c. NON-DISCRIMINATION. No discrimination shall be made in the employment of
persons under this Agreement because of the race, color, national origin, age,
ancestry,religion or sex of such person.
d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement is not
a contract of employment and does not create an employer-employee relationship
between the TOWN and CONTRACTOR. At all times CONTRACTOR shall be an
independent contractor and CONTRACTOR is not authorized to bind the TOWN to
any contracts or other obligations without the express written consent of the
TOWN. In executing this Agreement, CONTRACTOR certifies that no one who has or
will have any financial interest under this Agreement is an officer or employee of
TOWN.
e. CHANGES. This Agreement shall not be assigned or transferred without advance
written consent of the TOWN. No changes or variations of any kind are authorized
without the written consent of the City Manager. This Agreement may only be
amended by a written instrument signed by both parties.

f. TERMINATION. This Agreement may be terminated by TOWN upon seven (7) days
written notice to CONTRACTOR. Monies owed for work satisfactorily completed
shall be paid to CONTRACTOR within 14 days of termination.
g. RECORDS. All reports, data, maps, models, charts, studies, surveys, calculations,
photographs, memoranda, plans, studies, specifications, records, files, or any other
documents or materials, in electronic or any other form, that are prepared or
obtained pursuant to this Agreement and that relate to the matters covered
hereunder shall be the property of the TOWN. CONTRACTOR hereby agrees to
deliver those documents to the TOWN at any time upon demand of the TOWN. It is
understood and agreed that the documents and other materials, including but not
limited to those described above, prepared pursuant to this Agreement are
prepared specifically for the TOWN and are not necessarily suitable for any future
or other use. Failure by CONTRACTOR to deliver these documents to the TOWN
within a reasonable time period or as specified by the TOWN shall be a material
breach of this Agreement. TOWN and CONTRACTOR agree that until final approval
by TOWN, all data, plans, specifications, reports and other documents are
preliminary drafts not kept by the TOWN in the ordinary course of business and will
not be disclosed to third parties without prior written consent of both parties. All
work products submitted to the TOWN pursuant to this Agreement shall be deemed
a "work for hire." Upon submission of any work for hire pursuant to this
Agreement, and acceptance by the TOWN as complete, non-exclusive title to
copyright of said work for hire shall transfer to the TOWN. The compensation
recited in Section 4 shall be deemed to be sufficient consideration for said transfer
of copyright. CONTRACTOR retains the right to use any project records, documents
and materials for marketing of their professional services.
h. ENTIRE AGREEMENT. This Agreement represents the entire agreement
between the Parties. Any ambiguities or disputed terms between this Agreement
and any attached Exhibits shall be interpreted according to the language in this
Agreement and not the Exhibits.
6. INVOICING. Send all invoices to the contract coordinator at the address below.
This Agreement shall become effective upon its approval and execution by TOWN. In
witness whereof, the parties have executed this Agreement the day and year first written
above.

A RESOLUTION OF THE CITY COUNCIL
OF THE TOWN OF LOS ALTOS HILLS AUTHORIZING THE CITY MANAGER TO
ENTER INTO A CONTRACT WITH GODBE RESEARCH
WHEREAS, the City Manager of the Town of Los Altos Hills recommends market research
company, Godbe Research to conduct a needs assessment survey for the Town of Los Altos
Hills, California; and
WHEREAS, the Community Services Supervisor recommends the contract for said project be
awarded to Godbe Research in an amount not to exceed$30,000;
NOW,THEREFORE,BE TT RESOLVED by the City Council of the Town of Los Altos Hills
that the City Manager is hereby authorized to either award the contract to Godbe Research in an
amount not to exceed$30,000.
The above and foregoing resolution was passed and adopted by the City Council of the Town of

BACKGROUND AND EXPERIENCE
Godbe Research, a State of California certified small business enterprise(SBE),was
founded in January of 1990.The firm is a full-service public opinion research agency
that offers its clients extensive experience in research studies to address community
satisfaction and priorities, community needs assessments, public education and
outreach strategies, strategic and general planning efforts, revenue and ballot
measure feasibility, customer and user satisfaction, public sector marketing efforts,
and other customized client needs. Our offices in San Mateo (California/Corporate),
Reno, NV(Southwest),and Bellevue,WA(Northwest), house a staff of highly trained
and experienced researchers(all Masters or Ph.D. level), and a commitment to
providing superior quality research and client services.
The firm has been employed by public and private sector clients throughout California
and the western United States,and has extensive experience in all accepted
quantitative(telephone surveys, mail surveys, Internet surveys& intercept surveys)
and qualitative (focus groups, in-depth interviews&triads)research methodologies as
well as hybrid studies involving more than one methodology and the analysis of
secondary research. The combined expertise of the Godbe Research team spans
more than 50 years in the field of public opinion research.The Godbe Research Team
consists of the President(Bryan Godbe), Vice President(Charles Hester), and a staff

Each team member has the education and experience commensurate with their

public opinion research projects to evaluate topics such as community satisfaction,
quality of life, budget and funding priorities, revenue and ballot measure feasibility,
and evaluating future community needs. Our recent experience includes resident and
voter surveys conducted for clients such as the Cities and Towns of Redwood City,
Los Altos, South San Francisco, Belmont, San Rafael, San Mateo, San Carlos, Davis,
Half Moon Bay, Novato, Morgan Hill, South San Francisco, Cupertino,Campbell,
Concord,Atherton, Hayward, Mountain View, Rancho Cordova, Santa Cruz, Burbank,
La Mirada, Roseville, Moraga, El Cerrito, Corte Madera, San Leandro, Tracy, Union
City, Richmond, Newark, Santa Barbara, Santa Maria, San Jose, Lafayette, Roseville,
La Mirada, Santa Monica, West Hollywood, Burbank, Santa Clarita, La Habra, and

Our experience in the Town of Los Altos Hills and peer communities in Santa Clara
and San Mateo Counties is just as extensive. Aside from the clients listed above,we
conducted several surveys for the Town in the mid-2000's on a variety of issues and
we were the pollster for the North County Library Authority's successful 2010 parcel
tax measure. The Town has also been part of our resident and voter surveys for
clients such as the Mid-Peninsula Regional Open Space District, Santa Clara County
Department of Parks and Recreation, Santa Clara County Department of Public
Works, Santa Clara Valley Transportation Authority, and other agencies that serve the
Town of Los Altos Hills. Finally, we have conducted several surveys for the City of Los
Altos on similar needs assessment topics related to a new community center and
other city facilities needs.
As an organization, Godbe Research is a small business and we manage our
commitments wisely. This means managing our project load so that the President or

Vice President can be directly involved in each project we conduct at the project
manager or project advisor level. Similarly, we do not take on so many projects that
we need to juggle team members or remove team members from current projects.
Thus, Godbe Research is committed to allocating the team members outlined in this
proposal for the duration of the project, including having Bryan Godbe (President) act
as the project manager and day-to-day contact from Godbe Research for the duration
of the survey for the Town of Los Altos Hills.
Below is a diagram of the general research process we undertake as part of our
residents surveys, needs assessment surveys, and other quantitative research
studies. While each of our studies is highly customized based on each client's unique
and specific needs, we follow this process for each of our quantitative (and a similar
process for qualitative)studies.We are here with you throughout the process, and
even between events as we understand that our survey is a tool in the larger service
level evaluation and planning process that take another 3 to 6 months, or more,to
culminate after the survey has been completed.

PROJECT MANAGER
Reliable public opinion research results depend on having a firm that understands the
complexities and nuances of survey research design, including sampling theory,
questionnaire design, and data analysis.Accordingly,the team at Godbe Research is
comprised of recognized experts in survey research design and implementation, and
for this specific resident survey project for Los Altos Hills,we will assign one of our
two most experienced project managers, Bryan Godbe (President).
Bryan has designed and conducted over 250 survey research projects in the past
three years alone for California citiesttowns, counties, and other public sector
agencies, including the majority of the clients fisted throughout this proposal. Bryan
will execute all stages of the survey project, including sampling design and
questionnaire development, overall project management, analysis, reporting, and
presentations, and would be the day-to-day contact for Town staff and administration.
A resume for Bryan has been provided below and he will be assisted by additional
Godbe Research team members, as needed.
Bryan Godbe, M.A.
President and Principal Researcher
Founder of Godbe Research, Mr. Godbe has over 30 years of experience in public
opinion research, public relations and government affairs. In this capacity, he has
conducted public opinion and market research projects at the national, state,and local
levels including projects for the Cities of San Francisco, San Diego, Los Angeles,
Sacramento, and San Jose(California)as well as Portland(Oregon), Seattle
(Washington),and Henderson (Nevada).
Mr. Godbe received a Silver Anvil Award from the Public Relations Society of America
for the development and implementation of an outstanding government affairs
program on behalf of the Contra Costa Water District.This program was based on Mr.
Godbe's extensive research including baseline research,focus groups and three
tracking surveys. In addition, Bryan has also recently completed resident survey
projects for clients such as the City of Los Altos, City of Mountain View, City of
Morgan Hill, City of Cupertino, City of Campbell, City of Belmont, City of San Carlos,
City of San Mateo, and many others.
Prior to founding the firm, Mr.Godbe was Vice President of Research at a California
based public relations firm. Mr. Godbe also previously served as the Senior Research
Consultant at the Center for the Study of Los Angeles, at Loyola-Marymount
University. He has a Master's Degree from the University of Michigan where he
studied survey research methodology at the Institute for Social Research: and a BA.
degree from the University of California, Berkeley.

PROPOSED PROJECT WORK PLAN
Godbe Research is recognized leader in public opinion research for California cities
and towns, school districts, counties, park and recreation districts, and other local
government agencies. Given our experience,we understand that each project's
ultimate success depends on recognizing the individual and unique needs of our
clients and then developing a customized project plan to address these specific
needs. To this end,we have has crafted the following general project work plan for the
Town of Los Altos Hills to illustrate the types of considerations that go into each of our
survey projects for our municipal clients.
Research Objectives
Before beginning any survey process, Godbe Research spends significant time
reviewing the client's research objectives to choose the most appropriate research
design. Based on our experience with dozens of resident and voter surveys for clients
throughout Santa Clara and San Mateo Counties, as well as the larger Bay Area in
general, Godbe Research understands that there are several potential research
objectives to be addressed by this current study, the most important of which include
evaluating the opinions and attitudes of Town residents on potential future community
center,the types of activities residents would like to have at any new community
center, and other potential uses for the center such as being an emergency operations
center for the Town. Identifying specific research objectives and a refinement of those
objectives would be one of the first tasks in the survey process.
Methodology and Sample Discussion
For this resident survey for Los Altos Hills, Godbe Research is recommending the
Town conduct a hybrid Internet and telephone survey of registered voters as opposed
to using a random digit dial(RDD) sampling design. Our recommendation for change
is two-fold. First, to counteract declining response rates to telephone surveys in
general,and especially among residents under age 50,we have adapted our
methodological approach to leverage response technologies preferred by certain age
groups.This includes a hybrid survey process,where we conduct an Internet survey
of respondents(typically ages 18 to 49),then use a telephone survey methodology to
round out our demographic and geographic quotas, as well as to capture interviews
with residents age 50+, who still prefer telephone surveys. However, since the best
repository of email addresses for Town residents(or any public agency) is the voter
file, we are recommending using the voter file for our sampling frame.
Two, since late-2013 or so, we have seen a severe decline in response rates in our
land-line telephone samples(RDD samples) as many residents have abandoned their
land-lines altogether and become more protective of their cell phone as their primary
communications device(no mare'throw away' land-line number). Again, the voter file
presents the best solution, as this type of sample has a given resident's self-reported
primary phone number(land-line and/or cell phone) as well as a given resident's
name and address so that we can conduct an additional telephone match to increase
the number of cell phones and land-lines we have access to. Some of our clients who
have transitioned to a similar hybrid methodology because of the benefits of increased
sample size and better representation include the City of San Rafael, City of San
Carlos, City of South San Francisco, City of Belmont, City of Tracy, Town of Moraga,
City of Novato, City of El Cerrito, and most other Godbe Research clients.
We being the process by using the Internet survey as our primary data collection
method and a listed voter sampling design, developed to match either the U.S.
Census or American Community Survey(ACS) estimates for known voter

demographics (e.g. age,gender, ethnicity)as well as geography within the Town.
Once the Internet version has been completed,we will then supplement the Internet
survey with a telephone survey methodology,after a review of Internet survey
respondent demographics where we can identify and account for potential
demographic sub-groups that might not respond adequately to the Internet version of
the survey as well as remove any voter from our sampling frame that either completed
the Internet version of the survey or asked for an 'unsubscribe'to the survey process.
This dual methodological and listed voter sampling approach will cost effectively allow
us to collect data from Los Altos Hills residents based on how potential respondents
interact with various survey technologies, in order to maximize our sample size and
statistical validity for the survey, not to mention representation of various demographic
and geographic subgroups in the Town. Finally, given that we are using the voter file
and residents are tied to a specific physical address in Town we can ensure that the
survey is only administered to actual residents of the Town of Los Altos Hills,which
was also an issue in using RDD/random samples where we only have a telephone
number and no other information and must establish residency to qualify for the
survey process.
Scope of Work
Below, Godbe Research has crafted our recommended scope of work for Town of Los
Altos Hills to illustrate the types of considerations that go into each of our resident
survey studies.While each of our research projects is customized to the needs of a
given client,there is a specific and proven process to conducting needs assessments
and other resident surveys.Accordingly specific services for the survey are thus
envisioned to include:
➢ Conducting an in-person kick-off meeting with the Town, as well as additional
meetings and conference calls to discuss the research objectives and other
aspects of the resident survey in detail.
➢ Reviewing voter and resident demographics in Los Altos Hills,any related
previous opinion research studies, and other information that will help to
inform and support this specific survey process.
➢ Designing and refining a survey instrument of approximately 10 to 20-minutes
in length so that it addresses the research objectives of the Town related to
the resident survey process. This is done through an iterative process
between Godbe Research and the Town. The survey will be designed to be
formatted for both Internet and telephone survey modalities as a'hybrid
survey'and both versions of the survey will be identical save for instructions
specific to each modality(Internet and telephone).
➢ Programming, refining, and testing the Internet version of the survey
instrument using our Internet survey software package. This will be done by
our team of IT and programming experts.
➢ CATI programming the survey version of the survey instrument for efficient
and accurate data collection, and training telephone interviewing personnel on
the questionnaire and interviewing protocol.
• For our telephone interviewing projects, Godbe Research uses only
live interviewers who have been trained on the survey questionnaire
and who are located in the western United States.

➢ Pre-testing the survey instrument in both modalities to ensure that the
questions and response codes are understandable to respondents, and to
ensure that the survey length coincides with the budgeted survey length for
the project.
➢ Development of a recruitment email for the Internet version of the survey and
working with the Town so that Godbe Research can send recruitment emails
to voters with known email addresses in the voter file.
• Based on the Town's preference and communications policies,we
can also match any internal email lists the Town has(e.g. park and
recreation lists, Town communications lists,water service lists, etc.)to
the file, so that we can include additional voters that do not have
email addresses on file with the State Voter File or County Registrar
of Voters due to information collected during registration.
> Development of a stratified and clustered listed sample of Los Altos Hills
voters appropriate to the research objectives of this specific survey process.
The listed sample will first be constructed using email addresses from the
voter file, as the Internet modality will be conducted first in the hybrid survey
process. Once we have developed the Internet sample, the rest of the sample
will be de-duplicated by matching names, addresses, and phone numbers
from Internet survey respondents to those in the voter file. We will then
remove any voter from the telephone survey sample who previously
completed the survey via the Internet. Further, we will ask telephone survey
respondents in that sample if they have already completed the survey via the
Internet and will remove those voters from the survey process through a
screening question.
• For review, there are a total of approximately 5,581 voters in Los
Altos Hills. Within the voter file,we have email addresses for
approximately 690 voters or about 12% of the total voting electorate
and 22%of the total households in the Town.We also have
approximately 331 cell phone numbers,which represents about 6% of
the telephone numbers in the voter file.
> Conducting approximate 10 to 20-minute Internet and telephone interviews
with up to 300 (n=300)total Los Altos Hills voters according to a strict
interviewing protocol and our approved sampling design. A sample size of
300 will provide for a margin of error of no greater than+/-6% at the 95%
confidence level, when looking at all voters, as well as all residents, in the
Town of Los Altos Hills.
➢ Merging the Internet and telephone data files, as well as processing and
weighting the data to adjust for population distribution and strategic
oversampling, as needed to reflect the larger resident (voters and/or non-
voters) population of the Town of Los Altos Hills.
➢ Developing a topline report of aggregate findings for the Town.We will also
meet with Los Altos Hills to review the topline/aggregate survey results. This
will help our more detailed analysis and reporting to be of maximum value to
the Town moving forward.
➢ Analyzing the survey results and preparing a report of findings conclusions,
and recommendations for the Town (draft and final formats),which directly

graphical format, comparisons to previous surveys on similar topics, as well
as a copy of the survey questionnaire and a complete set of crosstabulations

PROJECT TIME LINE
Because of our experience in conducting resident and voter surveys for clients
throughout San Mateo County and the greater Bay Area, Godbe Research generally
prefers to conduct a hybrid survey over about an eight to ten week time frame.
However, preliminary results can be made available much sooner, if required. Below,
we have provided a general time line in number of days to illustrate the time needed
for each task in the overall research process.
Please note that Los Altos Hills meetings(e.g. project kick off meeting)and tasks (e.g.
questionnaire review)have been italicized for easy review below. Finally, a formal

PROPOSED PROJECT COSTS
Godbe Research takes great pride in delivering reliable and practical resident and
voter survey projects 'on time and on budget'. In doing so,we prefer to provide a firm,
fixed fee format for our cost proposals. This is because we do not believe in assigning
arbitrary hours and rarely do projects(even highly similar in nature)take the same
amount of time or resources.
Based on our understanding of the needs of the Town of Los Altos Hills for this
resident survey event, Godbe Research has provided costs to conduct either a 10, 15,
or 20-minute survey comprised of up to 300(n=300)total Town voters, using a hybrid
Internet and telephone survey methodology. The prices below reflect the all inclusive
costs to complete the voter polling project--the overall cost will not exceed those
shown below, provided that the parameters (survey length, sample size, two in-person
presentations, etc.) of the project conform to those outlined in this proposal. Should
project parameters or Town need change, we will be happy to provide amended costs
prior to proceeding.
