THIS AGREEMENT is made and entered into on the 21st day of September, 2020 by
and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as "TOWN") and
Noll & Tam Architects (hereinafter referred to as "CONTRACTOR"). In consideration of
their mutual covenants, the parties hereto agree as follows:
1. CONTRACTOR. Shall provide or furnish the following specified services and/or
materials:
Architectural Design and Construction Services for Phase 2 of
the Town Hall Addition Project as specified in the attached
exhibit.
2. EXHIBITS. The following attached exhibits are hereby incorporated into and made a
part of this Agreement:
Proposal from CONTRACTOR dated August 20, 2020
3. TERMS. The services and/or materials furnished under this Agreement shall
commence September 28, 2020 and shall be completed by September 28, 2022,
unless terminated pursuant to Section 5(f).
4. COMPENSATION. For the full performance of this Agreement:
a. TOWN shall pay CONTRACTOR an amount not to exceed two hundred and eight
thousand eight hundred seventy six dollars and zero cents ($208,876.00) within
thirty (30) days following receipt of invoice and completion/delivery of
services/goods as detailed in Sections 1, 2, and 3 of this Agreement and only upon
satisfactory delivery/completion of goods/services in a manner consistent with
professional/industry standards for the area in which CONTRACTOR operates.
TOWN is not responsible for paying for any work done by CONTRACTOR or any
subcontractor above and beyond the not to exceed amount.
b. Town shall not reimburse for any of CONTRACTOR's costs or expenses to deliver
any services/goods. Town shall not be responsible for any interest or late charges
on any payments from Town to CONTRACTOR.
c. CONTRACTOR is responsible for monitoring its own forces/employees/agents/
subcontractors to ensure delivery of goods/services within the terms of this
Agreement. TOWN will not accept or compensate CONTRACTOR for incomplete
goods/services.

5. GENERAL TERMS AND CONDITIONS.
a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold
harmless the TOWN, its officers, agents and employees from any and all demands,
claims or liability of personal injury (including death) and property damage of any
nature, caused by or arising out of the performance of CONTRACTOR under this
Agreement. With regard to CONTRACTOR'S work product, CONTRACTOR
agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and
employees from any and all demands, claims or liability of any nature to the extent
caused by the negligent performance of CONTRACTOR under this Agreement.
b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance
before commencing any services under this Agreement as follows:
WORKERS COMPENSATION INSURANCE: Minimum statutory limits.
COMMERCIAL GENERAL LIABILITY AND PROPERTY DAMAGE
INSURANCE: General Liability and Property Damage Combined.
$1,000,000.00 per occurrence including comprehensive form, personal
injury, broad form personal damage, contractual and
premises/operation, all on an occurrence basis. If an aggregate limit
exists, it shall apply separately or be no less than two (2) times the
occurrence limit.
iii. AUTOMOBILE INSURANCE: $1,000,000.00 per occurrence.
iv. ERRORS AND OMISSIONS INSURANCE: $1,000,000.00 aggregate.
v. NOTICE OF CANCELLATION: The City requires 30 days written notice
of cancellation. Additionally, the notice statement on the certificate
should not include the wording "endeavor to" or "but failure to mail such
notice shall impose no obligation or liability of any kind upon the
company, its agents or representatives."
vi. CERTIFICATE OF INSURANCE: Prior to commencement of services,
evidence of insurance coverage must be shown by a properly executed
certificate of insurance and it shall name "The Town of Los Altos Hills,
its elective and appointed officers, employees, and volunteers" as
additional insureds.
vii. To prevent delay and ensure compliance with this Agreement, the
insurance certificates and endorsements must be submitted to:

c. NON-DISCRIMINATION. No discrimination shall be made in the employment of
persons under this Agreement because of the race, color, national origin, age,
ancestry, religion or sex of such person.
d. INTEREST OF CONTRACTOR. It is understood and agreed that this Agreement
is not a contract of employment and does not create an employer-employee
relationship between the TOWN and CONTRACTOR. At all times
CONTRACTOR shall be an independent contractor and CONTRACTOR is not
authorized to bind the TOWN to any contracts or other obligations without the
express written consent of the TOWN. In executing this Agreement,
CONTRACTOR certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of TOWN.
e. CHANGES. This Agreement shall not be assigned or transferred without advance
written consent of the TOWN. No changes or variations of any kind are authorized
without the written consent of the City Manager. This Agreement may only be
amended by a written instrument signed by both parties.
f. TERMINATION. This Agreement may be terminated by TOWN upon seven (7)
days written notice to CONTRACTOR. Monies owed for work satisfactorily
completed shall be paid to CONTRACTOR within 14 days of termination.
g. RECORDS. All reports, data, maps, models, charts, studies, surveys,
calculations, photographs, memoranda, plans, studies, specifications, records,
files, or any other documents or materials, in electronic or any other form, that are
prepared or obtained pursuant to this Agreement and that relate to the matters
covered hereunder shall be the property of the TOWN. CONTRACTOR hereby
agrees to deliver those documents to the TOWN at any time upon demand of the
TOWN. It is understood and agreed that the documents and other materials,
including but not limited to those described above, prepared pursuant to this
Agreement are prepared specifically for the TOWN and are not necessarily
suitable for any future or other use. Failure by CONTRACTOR to deliver these
documents to the TOWN within a reasonable time period or as specified by the
TOWN shall be a material breach of this Agreement. TOWN and CONTRACTOR
agree that until final approval by TOWN, all data, plans, specifications, reports and
other documents are preliminary drafts not kept by the TOWN in the ordinary
course of business and will not be disclosed to third parties without prior written
consent of both parties. All work products submitted to the TOWN pursuant to this
Agreement shall be deemed a "work for hire." Upon submission of any work for
hire pursuant to this Agreement, and acceptance by the TOWN as complete, non-
exclusive title to copyright of said work for hire shall transfer to the TOWN. The
compensation recited in Section 4 shall be deemed to be sufficient consideration
for said transfer of copyright. CONTRACTOR retains the right to use any project
records, documents and materials for marketing of their professional services.

ENTIRE AGREEMENT. This Agreement represents the entire agreement
between the Parties. Any ambiguities or disputed terms between this Agreement
and any attached Exhibits shall be interpreted according to the language in this
Agreement and not the Exhibits.
6. INVOICING. Send all invoices to the contract coordinator at the address below.
This Agreement shall become effective upon its approval and execution by TOWN. In
witness whereof, the parties have executed this Agreement the day and year first written
above.

Noll & Tam Architects is pleased to present our proposal for Phase 2 of the Town Hall Addition Project. We
would be very excited to work with Los Altos Hills, as we have gotten to know members of your staff and
community in our work on the Los Altos Community Center. Our goal for this project will be to pick up the
conceptual design that was approved last fall and carry the design forward in a way that will help you work
and serve your Town better, while meeting budget and schedule expectations.
The conceptual design completed by Duxbury/McIntosh Architects represents a lot of good thinking about
how to expand Town Hall and provide new workspaces and restrooms at the south end of the building. Noll &
Tam has helped many public agencies create office environments that reflect their mission and give staff the
space and resources to allow them to do their best work. We are also known for our community and rec center
work, and we understand the importance of flexibility when it comes to designing these types of spaces. We
enjoy collaborating with our clients to plan for the future in a thoughtful, practical, and forward -thinking way.
Since 1992, Noll & Tam has assisted public clients and agencies with a wide range from projects — from civic
centers to corporation yards, libraries to health clinics. We've presented qualifications that highlight some of
our experience with projects similar to the Town Hall Addition. Our work on the Albany Public Works Service
Center, the Albany Civic Center, and a variety of renovation and addition projects have given us a keen
understanding of the issues this project will face. We enjoyed meeting with you, Zach, for the walk-through,
albeit virtual, and would look forward to developing the design in collaboration with you and the other
stakeholders.
I will serve as Principal -in -Charge, offering my expertise in civic facilities, community spaces, and modern office
environments. Proposed Project Manager Dora Pollak brings experience with Los Altos and is conscientious
and detail -oriented, with a strong background in sustainable design. We are supported by a staff of 42 and
have the resources to meet the needs of this project, together with our experienced team of subconsultants.
Our design for the Town Hall Addition will align with the values and vision of Los Altos Hills and help you
better engage with and serve the public. We would work hard to make this process fun and engaging for all.

UNDERSTANDING SCOPE OF SERVICES
PROJECT APPROACH
Our goal for Phase 2 of the Town
Hall Addition Project will be to
create a seamless connection to the
existing Town Hall that expands the
space available in order to create a
welcoming area for the community
you serve as well as a comfortable
and functional "back of house' work
environment for staff. We will strive to
create a consistent design aesthetic
that complements the existing Town
Hall as well as provides a modern,
lasting update. We understand that
the conceptual design has been
approved by the City Council, and
our first step will be to confirm
that the design still meets your
needs well, then work closely with
you with to further understand the
changes that will need to occur in
the existing building as well as any
elements of the project that need
further development. We enjoyed
our work with Zach Dahl on the Los
Altos Community Center project and
would look forward to continuing
our collaboration with you, as well as
other members of your staff during
the design process.
We bring experience in the design
of community spaces and work
environments for a variety of public
entities. For all of our clients, we
make sure we understand their core
organizational culture and values, so
that the design options we develop
support these values. Today's trends
in work environments, including new
responses to everyone's Covid-19
social distancing concerns, aim for
flexibility, adaptability, and cross -
functionality, and new considerations
for working both collaboratively
and privately. They also incorporate
technology in new ways. The design
of work environments must still
respond to the specific kind of
work that must be accomplished,
the physical requirements for that
job, and the needs and culture of
the organization. The success of
most organizations still depends
on effective human communication
and building strong relationships. By
taking today's workplace concepts
and applying them within the
parameters of the project scope,
we will arrive at a practical and
innovative plan for maximizing space
and meeting your budget.
Our design process will consider:
• The opportunities and the
constraints of the existing
building, including ways to
reconfigure existing spaces to
maximize functionality;
• The potential of the expansion to
provide increased overall value to
the Town;
• Balancing the importance of
accessible public functions with
the need for security, access
control, and social distancing;
• Understanding the desired uses
of the "Flex Space" and how
best to accommodate them with
maximum flexibility;
• Designing with consideration for
the functions and requirements
of different staff,
• Creating a comfortable working
and professional environment;
• Balancing the program and
budget in order to meet the
Town's goals.

METHODOLOGY
PROJECT KICKOFF
In order to get the project off to
a good start, we like to proceed
with a kick-off meeting at which
all relevant parties to the project
meet and discuss the project vision
and goals, the budget, program,
priorities, schedule, and other criteria,
communications and decision
making, meetings, and any topics
that need clarifying before we begin
in earnest. We will meet with and
review the program in detail with
each of the staff who are affected
by the project, and make whatever
adjustments necessary to realign
with current expectations. We will
perform a brief reality check on the
budget with Mack5, and reconcile
any discrepancies as necessary. The
information we gather at this stage
will establish a foundation for the
work to follow.
DESIGN DEVELOPMENT
Our design process is a collaborative
exploration to find the best solutions
to meet the Town's needs within its
budget. Although a schematic design
concept has already been developed
and approved by the Council, we will
take time in the Design Development
phase to review the existing
plans, work with the staff to better
understand their needs and concerns
regarding the current layout. Using
this information, and building upon
the previously developed plans, we
will work to refine the plans to most
effectively meet the needs of the
project.
Preparation of Design Development
documents for review and costing
purposes will help refine the
project scope and confirm design
assumptions. Design Development
documentation will include site and
building plans, elevations, typical
details, initial engineering plans,
and sketch visualization tools as
required to help communicate the
design intentions. We will meet
regularly with staff (typically virtually)
throughout this phase to discuss
key design decisions and to review
project development. We will present
the outcome of this design phase to
Council to provide a public update
on the design process and obtain
approval to move forward.
CONSTRUCTION
DOCUMENTS
Based upon the approved design
development documents, any
necessary reconciliation of the scope
and budget, and Council feedback,
Noll & Tam will develop complete
construction documentation for the
selected work. We will continue
to work with staff to resolve any
outstanding issues, and coordinate
with the Town and Santa Clara
County for entitlements and the
permitting process, delivering a bid -
ready set of construction documents
at the completion of the phase.
BIDDING SUPPORT
As the project moves towards
construction, we will assist the Town
and its Construction Manager with
the bidding process, attend the
pre-bid conference and assist in any
related public presentations, issue
addenda (if necessary), clarifications
of design documents and help
evaluate the bids and award the
contract to the successful bidder.
PERMITS AND APPROVALS
Noll & Tam has more than 25 years of
experience obtaining approvals from
local, state and federal agencies, and
we have a well-earned reputation
as knowledgeable of codes and
innovators within established
regulations. We have found that
meeting with key reviewers from
agencies having jurisdiction
early in the planning and design
process is an excellent strategy.
Preliminary conferences give us an
opportunity to describe the project
and its constraints, to negotiate
solutions and establish a basis for
future review. Early notification also
facilitates final approval of the design
without significant modifications. We
also understand the potential issues
that solicit comments from reviewers,
such as accessibility requirements.
By anticipating and thoroughly
addressing those items that are
critical to obtaining approvals, we
avoid unnecessary delays. From our
prior work with the City of Los Altos,
we have established relationships
with the relevant agencies, and will
be able to rely on these as we move
the project forward.

CONSTRUCTION
ADMINISTRATION
SUPPORT
During construction, we will
work closely with the Town, the
Construction Manager, and the
Contractor to ensure that what has
been described in the construction
documents is being constructed,
and that all project requirements
are being met. We consider the
completion of the project to be a
team effort, and we will partner
with the contractor to establish a
cooperative working relationship. We
will respond promptly to submittal
reviews and inquiries, prepare
change orders, and find solutions to
construction problems acceptable to
all parties. We will also monitor the
contractor's record keeping on site, as
this will ensure smooth and efficient
project close-out.
PROJECT MANAGEMENT
Working almost exclusively in
the public sector has required
very strong, proactive project
management. We understand how
critical it is to maintain tight control
over the project budget, so that
on bid day, we have a project that
can confidently move forward. At
the beginning of the project we
will review the cost budget, its
assumptions, and confirm that
we have accounted for all project
elements on both sites. We have a
long and successful relationship with
mack5, the cost estimator for the
project. We will meet with them and
the Town to review the project goals,
budget, and assist us in providing
cost guidelines from which we can
make smart, budget -conscious design
decisions in the design development
phase. At the completion of each
design phase, we will perform a
comprehensive scope and budget
reconciliation with Town staff to
determine if the design and the
construction budget are still aligned
with project scope. This will be critical
to the success of the project, and will
provide a clear road map to project
completion.
One of the things we take great pride
in at Noll & Tam is our quality control
process. Bringing independent
reviewers to the project at each
phase, we carefully build up a design
and documentation package that
is accurate, coordinated, thorough,
and comprehensible to bidders and
contractors. In this way, we have been
very successful at limiting document -
related change orders to a very low
rate.
MEETING YOUR SCHEDULE
Noll & Tam prides itself on being
able to deliver complex projects
on schedule. As a firm that works
primarily on public projects, we
respect that delays in schedule can
mean an increase in budget, and
we know the importance of being
good stewards of public dollars.
Furthermore, completing a project on
time instills faith in the public of an
organization's efficiency and effective
operation.
Keeping a project on schedule is
dependent on a number of factors.
First and foremost is, of course, our
team's ability to meet deadlines. The
second is effective decision-making
by the client. Through years of
working with complex organizations,
we have developed the tools to
provide clients with the information
they need in order to make informed

options, and their pros and cons, so
that our clients can effectively move
forward to make the decision that is

QUALIFICATIONS & EXPERIENCE
Noll & Tam Architects' work reflects
a dedication to the particular
people and places that make our
projects unique. Christopher Noll
and Janet Tam founded the firm in
1992 to establish a talented studio
of architects that pursued the ideal
of active community involvement
and environmentally responsive
design. Today, our Berkeley -based
firm has 42 creative and energetic
staff members, including 16 LEED
Accredited Professionals.
Over the past 28 years, we have
worked on a wide range of public
projects for more than 30 cities and
institutions throughout the Bay Area
Our projects include community
centers, libraries, recreational
facilities, and public safety facilities.
These building projects typically
go through a highly visible public
process that requires public
presentation to city councils, task
forces, and city commissions; close
coordination with city agencies
for permit approvals; as well as a
community participatory process
that allows seniors, families, and
neighbors to all feel included. Our
repeat clients include the cities of
Berkeley, Oakland, Fremont, Morgan
Hill, Sacramento, the counties of
Alameda and Marin, and special
districts. Our notable civic projects in
