THE TOWN OF LOS ALTOS HILLS AND
MICHAEL BAKER INTERNATIONAL, INC.
THIS AGREEMENT for consulting services is made by and between the Town of Los Altos Hills
("Town") and Michael Baker International, Inc. ("Consultant") (together referred to as the "Parties") as of
October 21, 2021 (the "Effective Date").
Section 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, Consultant
shall provide to Town the services described in the Scope of Work attached as ExhibitA, and incorporated
herein, at the time and place and in the manner specified therein. In the event of a conflict in or
inconsistency between the terms of this Agreement and Exhibit A, the Agreement shall prevail.
1.1 Term of Services. The term of this Agreement shall begin on the Effective Date and shall
end on June 30, 2023 the date of completion specified in Exhibit A, and Consultant shall
complete the work described in Exhibit A on or before that date, unless the term of the
Agreement is otherwise terminated or extended, as provided for in Section 8. The time
provided to Consultant to complete the services required by this Agreement shall not affect
the Town's right to terminate the Agreement, as referenced in Section 8.
1.2 Standard of Performance. Consultant shall perform all services required pursuant to this
Agreement according to the standards observed by a competent practitioner of the
profession in which Consultant is engaged.
1.3 Assignmentof Personnel. Consultant shall assign onlycompetent personnel to perform
services pursuant to this Agreement. In the event that Town, in its sole discretion, at any
time during the term of this Agreement, desires the reassignment of any such persons,
Consultant shall, immediately upon receiving notice from Town of such desire of Town,
reassign such person or persons.
1.4 Time. Consultant shall devote such time to the performance of services pursuant to this
Agreement as may be reasonably necessary to meet the standard of performance
provided in Section 11 above and to satisfy Consultant's obligations hereunder.
Section 2. COMPENSATION. Town hereby agrees to pay Consultant a sum not to exceed
$350,000.00, notwithstanding any contrary indications that may be contained in Consultant's proposal, for
services to be performed and reimbursable costs incurred under this Agreement. In the event of a conflict
between this Agreement and Consultant's proposal, attached as Exhibit A, regarding the amount of
compensation, the Agreement shall prevail. Town shall pay Consultant for services rendered pursuant to
this Agreement at the time and in the manner set forth herein. The payments specified below shall be the
only payments from Town to Consultant for services rendered pursuant to this Agreement. Consultant shall
submit all invoices to Town in the manner specified herein, Except as specifically authorized by Town in
writing, Consultant shall not bill Town for duplicate services performed by more than one person.

Consultant and Town acknowledge and agree that compensation paid by Town to Consultant under this
Agreement is based upon Consultant's estimated costs of providing the services required hereunder,
including salaries and benefits of employees and subcontractors of Consultant. Consequently, the parties
further agree that compensation hereunder is intended to include the costs of contributions to any pensions
and/or annuities to which Consultant and its employees, agents, and subcontractors may be eligible. Town
therefore has no responsibility for such contributions beyond compensation required under this Agreement.
2.1 Invoices. Consultant shall submit invoices, not more often than once a month during the
term of this Agreement, based on the cost for services performed and reimbursable costs
incurred prior to the invoice date. Invoices shall contain the following information:
■ Serial identifications of progress bills; i.e., Progress Bill No.1 for the first invoice,
etc.;
■ The beginning and ending dates of the billing period;
■ A Task Summary containing the original contract amount, the amount of prior
billings, the total due this period, the balance available under the Agreement, and
the percentage of completion;
■ At Town's option, for each work item in each task, a copy of the applicable time
entries or time sheets shall be submitted showing the name of the person doing
the work, the hours spent by each person, a brief description of the work, and
each reimbursable expense;
■ The hours worked during the invoice period by Consultant and each employee, of
Consultant performing services hereunder;
■ The Consultant's signature.
2.2 Monthly Payment. Town shall make monthly payments, based on invoices received, for
services performed within the Standard of Performance, and for authorized reimbursable
costs incurred. Town shall have 30 days from the receipt of an invoice that complies with
all of the requirements above to pay Consultant.
2.3 Final Payment. Intentionally Omitted.
2.4 Total Payment. Town shall pay for the services to be rendered by Consultant pursuant to
this Agreement. Town shall not pay any additional sum for any expense or cost
whatsoever incurred by Consultant in rendering services pursuant to this Ag reement.
Town shall make no payment for any extra, further, or additional service pursuant to this
Agreement.
In no event shall Consultant submit any invoice for an amount in excess of the maximum
amount of compensation provided above either for a task or for the entire Agreement,
unless the Agreement is modified prior to the submission of such an invoice by a properly
executed change order or amendment.
2.5 Hourly Fees. Feesfor work performed by Consultant on an hourly basis shall not exceed
the amounts shown on the compensation schedule as shown in Exhibit A.

2.6 Reimbursable Expenses. Reimbursable expenses are included in the total amount of
compensation provided underthis Agreement and shall not be exceeded.
2.7 Payment of Taxes. Consultant is solely responsible for the payment of employment taxes
incurred under this Agreement and any similar federal or state taxes.
2.8 Payment upon Termination. In the event that the Town or Consultant terminates this
Agreement pursuant to Section 8, the Town shall compensate the Consultant for all
outstanding costs and reimbursable expenses incurred for work completed in accordance
with the Standard of Performance as of the date of written notice of termination.
Consultant shall maintain adequate logs and timesheets to verify costs incurred to that
date.
2.9 Authorization to Perform Services. The Consultant is not authorized to perform any
services or incur any costs whatsoever under the terms of this Agreement until receipt of
authorization from the Contract Administrator.
Section 3. FACILITIES AND EQUIPMENT. Except as set forth herein, Consultant shall, at its sole
cost and expense, provide all facilities and equipment that may be necessary to perform the services
required by this Agreement. Town shall make available to Consultant only the facilities and equipment
listed in this section, and only under the terms and conditions set forth herein.
Town shall furnish physical facilities such as desks, filing cabinets, and conference space, as may be
reasonably necessary for Consultant's use while consulting with Town employees and reviewing records
and the information in possession of the Town. The location, quantity, and time of furnishing those facilities
shall be in the sole discretion of Town. In no event shall Town be obligated to furnish any facility that may
involve incurring any direct expense, including but not limited to computer, long-distance telephone or other
communication charges, vehicles, and reproduction facilities.
Section 4. INSURANCE REQUIREMENTS. Before beginning any work under this Agreement,
Consultant, at its own cost and expense, unless otherwise specified below, shall procure the types and
amounts of insurance listed below against claims for injuriesto persons or damages to property that may
arise from or in connection with the performance of the work hereunder by the Consultant and its agents,
representatives, employees, and subcontractors, Consistent with the following provisions, Consultant shall
provide proof reasonably satisfactory to Town of such insurance that meets the requirements of this section
and under forms of insurance reasonably satisfactory in all respects, and that such insurance is in effect
prior to beginning work to the Town. Consultant shall maintain the insurance policies required by this
section throughout the term of this Agreement. The cost of such insurance shall be included in the
Consultant's bid. Consultant shall not allow any subcontractor to commence work on any subcontract until
Consultant has provided evidence that such insurance is in effect for such subcontractors to Town.
Verification of the required insurance shall be submitted and made part of this Agreement prior to
execution, Consultant shall maintain all required insurance listed herein for the duration of this Agreement.
4.1 Workers'Compensation. Consultant shall, at its sole cost and expense, maintain
Statutory Workers' Compensation Insurance and Employer's Liability Insurance for any
and all persons employed directly or indirectly by Consultant. The Statutory Workers'

Compensation Insurance and Employer's Liability Insurance shall be provided with limits of
not less than $1,000,000.00 per accident. In the alternative, Consultant may rely on a self-
insurance program to meet those requirements, but only if the program of self-insurance
complies fully with the provisions of the California Labor Code. Determination of whether a
self-insurance program meets the standards of the Labor Code shall be solely in the
discretion of the Contract Administrator. The insurer, if insurance is provided, or the
Consultant, if program of self-insurance is provided, shall waive all rights of subrogation
against the Town and its officers, officials, employees, and volunteers for loss arising from
work performed under this Agreement.
4.2 Commercial General and Automobile Liability Insurance.
4.2.1 General requirements. Consultant, at its own cost and expense, shall maintain
commercial general and automobile liability insurance for the term of this
Agreement in an amount not less than $1,000,000.00 per occurrence, combined
single limit coverage for risks associated with the work contemplated by this
Agreement. If a Commercial General Liability Insurance or an Automobile Liability
form or other form with a general aggregate limit is used, either the general
aggregate limit shall apply separately to the work to be performed under this
Agreement or the general aggregate limit shall be at least twice the required
occurrence limit. Such coverage shall include but shall not be limited to, protection
against claims arising from bodily and personal injury, including death resulting
therefrom, and damage to property resulting from activities contemplated under
this Agreement, including the use of owned and non -owned automobiles.
4.2.2 Minimum scope of coverage. Commercial general coverage shall be at least as
broad as Insurance Services Office Commercial General Liability occurrence form
CG 0001 (most recent edition) covering comprehensive General Liability on an
"occurrence" basis. Automobile coverage shall be at least as broad as Insurance
Services Office Automobile Liability form CA 0001 (most recent edition), Code 1
(any auto). No endorsement shall be attached limiting the coverage.
4.2.3 Additional requirements. Each of the following shall be included in the
insurance coverage or added as a certified endorsement to the policy:
The Insurance shall cover on an occurrence or an occurrence basis, and
not on a claims -made basis.
Town, its officers, officials, employees, and volunteers are to be covered
as insureds as respects: liability arising out of work or operations
performed by or on behalf of the Consultant; or automobiles owned,
leased, hired, or borrowed by the Consultant
For any claims related to this Agreement or the work hereunder, the
Consultant's insurance covered shall be primary insurance as respects
the Town, its officers, officials, employees, and volunteers. Any insurance

or self-insurance maintained by the Town, its officers, officials, employees,
or volunteers shall be excess of the Consultant's insurance and shall not
contribute with it.
Each insurance policy required by this clause shall be endorsed to state
that coverage shall not be canceled by either party, except after 30 days'
prior written notice has been provided to the Town.
4.3 Professional Liability Insurance.
4.3.1 General requirements. Consultant, at its own cost and expense, shall maintain
for the period covered by this Agreement professional liability insurance for
licensed professionals performing work pursuant to this Agreement in an amount
not less than $1,000,000.00 covering the licensed professionals' errors and
omissions. Any deductible or self-insured retention shall not exceed $200,000 per
claim,
4.3.2 Claims -made limitations. The following provisions shall apply if the professional
liability coverage is written on a claims -made form:
The retroactive date of the policy must be shown and must be before the
date of the Agreement.
Insurance must be maintained and evidence of insurance must be
provided for at least five years after completion of the Agreement or the
work, so long as commercially available at reasonable rates.
If coverage is canceled or not renewed and it is not replaced with another
claims -made policy form with a retroactive date that precedes the date of
this Agreement, Consultant must purchase an extended period coverage
for a minimum of five years after completion of work under this
Agreement,
A copy of the claim reporting requirements must be submitted to the Town
for review prior to the commencement of any work under this Agreement.
4.4 All Policies Requirements.
4.4.1 Acceptability of insurers. All insurance required by this section is to be placed
with insurers with a Bests' rating of no less than A:VII,
4.4.2 Verification of coverage. Prior to beginning any work under this Agreement,
Consultant shall furnish Town with insurance certificates including endorsements.
The certificate of insurance shall show the signature of a person authorized by that
insurer to bind coverage on its behalf. If the Town does not receive the required

insurance documents prior to the Consultant beginning work, it shall not waive the
Consultant's obligation to provide them. .
4.4.3 Deductibles and Self -Insured Retentions. Consultant shall disclose to Town the
self-insured retentions and deductibles before beginning any of the services or
work called for by any term of this Agreement. .
4.4.4 Wasting Policies. Except for Professional Liability insurance, no policy required
by this Section 4 shall include a "wasting" policy limit (i.e. limit that is eroded by the
cost of defense).
4.4.5 Waiver of Subrogation. Consultant hereby agrees to waive subrogation which
any insurer or contractor may require from vendor by virtue of the payment of any
loss. Consultant agrees to obtain any endorsements that may be necessary to
affect this waiver of subrogation.
The Workers' Compensation policy shall be endorsed with a waiver of subrogation
in favor of the entity for all work performed by the consultant, its employees,
agents, and subcontractors.
4.4.6 Subcontractors. Consultantshall include all subcontractors as insureds under its
policies or shall furnish separate certificates and endorsements for each
subcontractor. All coverages for subcontractors shall be subject to all of the
requirements stated herein.
4.5 Remedies. In addition to any other remedies Town may have if Consultant fails to provide
or maintain any insurance policies or policy endorsements to the extent and within the time
herein required, Town may, at its sole option exercise any of the following remedies, which
are alternatives to other remedies Town may have and are not the exclusive remedy for
Consultant's breach:
■ Order Consultant to stop work under this Agreement or withhold any payment that
becomes due to Consultant hereunder, or both stop work and withhold any payment,
until Consultant demonstrates compliance with the requirements hereof, and/or
■ Terminate this Agreement.
Section 5. INDEMNIFICATION AND CONSULTANT'S RESPONSIBILITIES.
5.1. Separate Professional Liability (PL) Indemnity. As respect to the performance of
professional services, Consultant agrees to indemnify and hold harmless Town, its officers, employees,
authorized agents/volunteers (collectively, the "Town Indemnitees"), from and against any damages, losses,
liabilities, judgments, settlements, expenses, and costs (including reasonable and necessary attorneys' fees,
costs and expenses) to the extent caused by Consultant's negligent acts, errors or omissions or willful
misconduct in the performance of services under this Agreement and anyone for whom Consultant is legally

liable. Consultant has no obligation to pay for any of Town Indemnitees defense related cost prior to a final
determination of liability, or to pay any amount that exceeds Consultant's finally determined percentage of
liability based upon the comparative fault of Consultant.
5.2 Separate Otherthan Professional Liability (OPL) Indemnity. As respect to its operations,
other than the performance of professional services, Consultant agrees to indemnify, hold harmless and
defend Town with counsel approved by Town, the Town Indemnitees, from and against any damages,
liabilities, judgments, settlements, costs, claims, demands, actions, suits, losses, and expenses (including
reasonable and necessary attorneys' fees, costs and expenses) arising out of the death or bodily injury to
any person or destruction or damage to any property, to the extent caused by Consultant's negligent acts,
errors or omissions or willful misconduct in the performance of services under this Agreement and anyone
for whom Consultant is legally liable.
5.3 Common PL & OPL Indemnity Provisions. Consultant's obligations under this Section 5
shall not apply when (1) the injury, loss of life, damage to property, or violation of law arises from the gross
negligence or willful misconduct of the Townor its officers, employees, agents, or volunteers and (2) the
actions of Consultant or its employees, subcontractor, or agents have contributed in no part to the injury, loss
of life, damage to property, or violation of law. It is understood that the duty of Consultant to indemnify and
hold harmless under Section 5.2 includes the duty to defend as set forth in Section 2778 of the California
Civil Code. Acceptance by Town of insurance certificates and endorsements required underthis Agreement
does not relieve Consultant from liability under this indemnification and hold harmless clause. This
indemnification and hold harmless clause shall apply to any damages or claims for damages whether or not
such insurance policies shall have been determined to apply. By execution of this Agreement, Consultant
acknowledges and agrees to the provisions of this Section and that it is a material element of consideration.
In the event that Consultant or any employee, agent, or subcontractor of Consultant providing services
under this Agreement is determined by a court of competent jurisdiction or the California Public Employees
Retirement System (PERS) to be eligible for enrollment in PERS as an employee of Town, Consultant shall
indemnify, defend, and hold harmless Town for the payment of any employee and/or employer
contributions for PERS benefits on behalf of Consultant or its employees, agents, or subcontractors, as well
as for the payment of any penalties and interest on such contributions, which would otherwise be the
responsibility of Town.
Section 6. STATUS OF CONSULTANT.
6.1 Independent Contractor. At all times during the term of this Agreement, Consultant shall
be an independent contractor and shall not be an employee of Town. Town shall have the
right to control Consultant only insofar as the results of Consultant's services rendered
pursuant to this Agreement and assignment of personnel pursuant to Subparagraph 1.3;
however, otherwise Town shall not have the right to control the means by which
Consultant accomplishes services rendered pursuant to this Agreement. Notwithstanding
any other Town, state, or federal policy, rule, regulation, law, or ordinance to the contrary,
Consultant and any of its employees, agents, and subcontractors providing services under
this Agreement shall not qualify for or become entitled to, and hereby agree to waive an y
and all claims to, any compensation, benefit, or any incident of employment by Town,

including but not limited to eligibilityto enroll in the California Public Employees Retirement
System (PERS) as an employee of Town and entitlement to any contribution to be paid by
Town for employer contributions and/or employee contributions for PERS benefits,
6.2 Consultant Not an Agent. Except as Town may specify in writing, Consultant shall have
no authority, express or implied, to act on behalf of Town in any capacity whatsoever as an
agent. Consultant shall have no authority, express or implied, pursuant to this Agreement
to bind Town to any obligation whatsoever.
Section 7. LEGAL REQUIREMENTS.
7.1 Governing Law. The laws of the State of California shall govern this Agreement.
7.2 Compliance with Applicable Laws. Consultant and any subcontractors shall comply with
all laws applicable to the performance of the work hereunder.
7.3 Other Governmental Regulations. To the extent that this Agreement may be funded by
fiscal assistance from another governmental entity, Consultant and any subcontractors
shall comply with all applicable rules and regulations to which Town is bound by the terms
of such fiscal assistance program.
7.4 Licenses and Permits. Consultant represents and warrants to Town that Consultant and
its employees, agents, and any subcontractors have all licenses, permits, qualifications,
and approvals of whatsoever nature that are legally required to practice their respective
professions. Consultant represents and warrants to Town that Consultant and its
employees, agents, any subcontractors shall, at their sole cost and expense, keep in effect
at all times during the term of this Agreement any licenses, permits, and approvals that are
legally required to practice their respective professions. In addition to the foregoing,
Consultant and any subcontractors shall obtain and maintain during the term of this
Agreement valid Business Licenses from Town.
7.5 Nondiscrimination and Equal Opportunity. Consultantshall not discriminate, on the
basis of a person's race, religion, color, national origin, age, physical or mental handicap or
disability, medical condition, marital status, sex, or sexual orientation, against any
employee, applicant for employment, subcontractor, bidderfor a subcontract, or participant
in, recipient of, or applicantfor any services or programs provided by Consultant under this
Agreement. Consultant shall comply with all applicable federal, state, and local laws,
policies, rules, and requirements related to equal opportunity and nondiscrimination in
employment, contracting, and the provision of any services that are the subject of this
Agreement, including but not limited to the satisfaction of any positive obligations required
of Consultant thereby.
Consultant shall include the provisions of this Subsection in any subcontract approved by
the Contract Administrator or this Agreement.
Section 8. TERMINATION AND MODIFICATION.

8.1 Termination. Town may cancel this Agreement at any time and without cause upon
written notification to Consultant.
Consultant may cancel this Agreement upon 60 days' written notice to Town and shall
include in such notice the reasons for cancellation,
In the event of termination, Consultant shall be entitled to compensation for services
performed to the effective date of termination; Town, however, may condition payment of
such compensation upon Consultant delivering to Town any or all documents,
photographs, computer software, video and audio tapes, and other materials provided to
Consultant or prepared by or for Consultant or the Town in connection with this
Agreement.
8.2 Extension. Town may, in its sole and exclusive discretion, extend the end date of this
Agreement beyond that provided for in Subsection 1.1. Any such extension shall require a
written amendment to this Agreement, as provided for herein. Consultant understands and
agrees that, if Town grants such an extension, Town shall have no obligation to provide
Consultant with compensation beyond the maximum amount provided for in this
Agreement. Similarly, unless authorized by the Contract Administrator, Town shall have
no obligation to reimburse Consultant for any otherwise reimbursable expenses incurred
during the extension period.
8.3 Amendments. The parties may amend this Agreement only by a writing signed by all the
parties.
8.4 Assignment and Subcontracting. Town and Consultant recognize and agree that this
Agreement contemplates personal performance by Consultant and is based upon a
determination of Consultant's unique personal competence, experience, and specialized
personal knowledge. Moreover, a substantial inducement to Town for entering into this
Agreement was and is the professional reputation and competence of Consultant,
Consultant may not assign this Agreement or any interest therein without the prior written
approval of the Contract Administrator. Consultant shall not subcontract any portion of the
performance contemplated and provided for herein, other than to the subcontractors noted
in the proposal, without prior written approval of the Contract Administrator.
8.5 Survival. All obligations arising prior to the termination of this Agreement and all
provisions of this Agreement allocating liability between Town and Consultant shall survive
the termination of this Agreement.
8.6 Options upon Breach by Consultant. If Consultant materially breaches any of the terms
of this Agreement, Town's remedies shall include, but not be limited to, the following:
8.6.1 Immediately terminate the Agreement;

8.6.2 Retain the plans, specifications, drawings, reports, design documents, and any
other work product prepared by Consultant pursuant to this Agreement;
8.6.3 Retain a different consultant to complete the work described in Exhibit A not
finished by Consultant; or
8.6.4 Charge Consultant the difference between the cost to complete the work
described in Exhibit A that is unfinished at the time of breach and the amount that
Town would have paid Consultant pursuant to Section 2 if Consultant had
completed the work.
Section 9. KEEPING AND STATUS OF RECORDS.
9.1 Records Created as Part of Consultant's Performance. All reports, data, maps,
models, charts, studies, surveys, photographs, memoranda, plans, studies, specifications,
records, files, or any other documents or materials, in electronic or any other form, that
Consultant prepares or obtains pursuant to this Agreement and that relate to the matters
covered hereunder shall be the property of the Town. Consultant hereby agrees to deliver
those documents to the Town upon termination of the Agreement. It is understood and
agreed that the documents and other materials, including but not limited to those described
above, prepared pursuant to this Agreement are prepared specifically for the Town and are
not necessarily suitable for any future use or other use. It is understood and agreed that
the documents and other materials, including but not limited to those described above,
prepared pursuant to this Agreement are prepared specifically for the Town and are not
necessarily suitable for any future or other use, therefore any reuse by Town of any such
materials on any project other than the project which is the subject of this Agreement
without Consultant's prior written consent shall be at the sole risk of Town, Except as
required by law, Town and Consultant agree that, until final approval by Town, all data,
plans, specifications, reports and other documents are confidential and will not be released
to third parties without prior written consent of both parties. The preceding restriction shall
not applyto information which is in the public domain, was previously known to Consultant,
was acquired by Consultant from others who have no confidential relationship to Town with
respect to same, which through no fault of Consultant, comes into the public domain, or
information that is required to be disclosed by court order or by law including but not
limited to the California Public Records Act. Consultant shall not be restricted from
releasing information, including confidential information, in response to a subpoena, court
order, or other legal process, Consultant shall not be required to resist such subpoena,
court order, or legal process, but shall promptly notify Town in writing of the demand for
information before Consultant responds to such demand„
9.2 Consultant's Books and Records. Consultant shall maintain any and all ledgers, books
of account, invoices, vouchers, canceled checks, and other records or documents
evidencing or relating to charges for services or expenditures and disbursements charged
to the Town under this Agreement for a minimum of 3 years, or for any longer period
required by law, from the date of final payment to the Consultant to this Agreement.

9.3 Inspection and Audit of Records. Any records or documents that Section 9.2 of this
Agreement requires Consultant to maintain shall be made available for inspection, audit,
and/or copying at any time during regular business hours, upon oral or written request of
the Town. Under California Government Code Section 8546.7, if the amount of public
funds expended under this Agreement exceeds $10,000.00, the Agreement shall be
subject to the examination and audit of the State Auditor, at the request of Town or as part
of any audit of the Town, for a period of 3 years after final payment under the Agreement.
Section 10 MISCELLANEOUS PROVISIONS.
10.1 Attorneys' Fees. If a party to this Agreement brings any action, including an action for
declaratory relief, to enforce or interpret the provision of this Agreement, the prevailing
party shall be entitled to reasonable attorneys' fees in addition to any other relief to which
that party may be entitled, The court may set such fees in the same action or in a
separate action brought for that purpose.
10.2 Venue. In the event that either party brings any action against the other under this
Agreement, the parties agree that trial of such action shall be vested exclusively in the
state courts of California in the County of Santa Clara or in the United States District Court
for the Northern District of California.
10.3 Severability. If a court of competent jurisdiction finds or rules that any provision of this
Agreement is invalid, void, or unenforceable, the provisions of this Agreement not so
adjudged shall remain in full force and effect. The invalidity in whole or in part of any
provision of this Agreement shall not void or affect the validity of any other provision of this
Agreement.
10.4 No Implied Waiver of Breach. The waiver of any breach of a specific provision of this
Agreement does not constitute a waiver of any other breach of that term or any other term
of this Agreement.
10.5 Successors and Assigns. The provisions of this Agreement shall inure to the benefit of
and shall applyto and bind the successors and assigns of the parties.
10.6 Use of Recycled Products. Consultant shall prepare and submit all reports, written
studies and other printed material on recycled paper to the extent it is available at equal or
less cost than virgin paper.
10.7 Conflict of Interest. Consultant may serve other clients, but none whose activities within
the corporate limits of Town or whose business, regardless of location, would place
Consultant in a "conflict of interest," as that term is defined in the Political Reform Act,
codified at California Government Code Section 81000 et seq.
Consultant shall not employ any Town official in the work performed pursuant to this
Agreement. No officer or employee of Town shall have any financial interest in this
Agreement that would violate California Government Code Sections 1090 etseq.

Consultant hereby warrants that it is not now, nor has it been in the previous 12 months,
an employee, agent, appointee, or official of the Town. If Consultant was an employee,
agent, appointee, or official of the Town in the previous twelve months, Consultant
warrants that it did not participate in any manner in the forming of this Agreement.
Consultant understands that, if this Agreement is made in violation of Government Code §
1090 etseq., the entire Agreement is void and Consultant will not be entitled to any
compensation for services performed pursuant to this Agreement, including reimbursement
of expenses, and Consultant will be required to reimburse the Town for any sums paid to
the Consultant. Consultant understands that, in addition to the foregoing, it may be subject
to criminal prosecution for a violation of Government Code § 1090 and, if applicable, will
be disqualified from holding public office in the State of California.
10.8 Solicitation. Consultant agrees not to solicit business at any meeting, focus group, or
interview related to this Agreement, either orally or through any written materials.
10.9 Contract Administration. This Agreement shall be administered by the Planning Director
("Contract Administrator"). All correspondence shall be directed to or through the Contract
Administrator or his or her designee.
10.10 Notices. Any written notice to Consultant shall be sent to:

10.12 Integration. This Agreement, including the scope of work attached hereto and
incorporated herein as Exhibits A, represents the entire and integrated agreement between
Town and Consultant and supersedes all prior negotiations, representations, or
agreements, either written or oral.

10.15 Force Majeure. In no event shall either Town or Consultant have any claim or right
against the other for any failure of performance where such failure of performance is
caused by or is the result of causes beyond the reasonable control of the other party due
to any occurrence commonly known as a "force majeure," including, but not limited to: acts
of God; epidemic, pandemic, fire, flood, or other natural catastrophe; acts of any
governmental body; labor dispute or shortage; national emergency; insurrection; riot; or
war.
The Parties have executed this Agreement as of the Effective Date.

■ 3. Project Understanding
6th Cycle Housing Element Update
The Town of Los Altos Hills faces significant and challenging decisions to meet then ew6th Cycle Housing Element
requirements. The challenges include proving that there are viable sites that will bed eveloped within the next eight
years that can and are likely to prod ucethe 489 unit RHNA allocation. It is likely theTown will be required to rezone
some lands to permit multifamily housing. This will likely be controversial, however, the consequencs of non-
compliance may be worse.
Calling the6th Cycle Housing Elementan "update" is almost a misnomer. The requirements, expectations, and
scrutiny for this cycle are greater than any previous update cycle under recently passed state housing legislation as
well as the Housingand Community Development (HCD) guidance, review comments, and requirements. Even with
this understanding and heightened expectations atthe outset of the initial rounds of Housing Element Updates, the
review and expectations will require more resources, time, effort, and commitmentfrom both the consultant project
team and the Town of Los Altos Hills.
This cyclealso resulted in dramatically increased Regional Housing Needs Allocation (RHNA) requirements while
available land and opportunities continued to diminish. It also has increased the need to rezone commercial and
residential areas to meetthe RHNA, creating more difficult choices and decisions to achieve the required obligations.
What this means for the Town is that our experience on the first rounds of housing element updates in the SANDAG
and SCAG regions will directly benefit Los Altos Hills with an understanding of HCD implementation of its guidelines,
requirements, and preferences.
Where prior elements required a demonstration that zoning can accommodate additional housing to meetthe RHNA
requirements, this cycle requires a detailed demonstration of how proposed R HNAsites willlikely be developed in the
next eight-year planning period. These are some of thesignificant changes in the 6th Cycle.
Additionally, what has become increasingly clear through multiple HCD review cycles, comments, and the recent
publication of the HCD Affirmatively Furthering Fair Housing (AFFH) Guide is thatthis 6th Cycle Housing Element
requires an equal or greater emphasis and commitment to significant and meaningful changeand correction tofair
housing issues. These include enforcement and outreach, segregation and integration, access to opportunity, and
overcoming disproportionate housing needs. This new focus and emphasis require a level of acknowledgment and
commitmentto change on behalf of the Town that will challenge staff and decision makers to provide geographically
based programs with objective, measurable, and enforceable outcomes within specific timelines. HCD will be
expecting some rezoning to allow multi -family housing to provide housing options, access and mobility within Los
Altos Hills. Our approach is to make sure that community engagement is authentic, demonstrates significant
feedback from the publicand stakeholders, and reaches priority populations who are often underrepresented and
most negatively affected by fairhousing issues.
Los Altos Hills needs an experienced housing and planning consultant to help guide the Town through the new 6th
Cycle. Our team has the advantage of having prepared some of the first housing elements under this new regime.
We've worked closely with HCD and understand whatthey are likely to require of Los Altos Hills.
Safety Element Updates
During the Housing Element Update, and in accordance with State Law, the Safety Element will be simultaneously
updated per Government Code Section 65302(g)(1) governs the requirements of a Safety Element. This update in
response to the government code requirements and additional recent legislation affecting this element will the need
for cities and counties to understand their vulnerabilities to hazards such as seismic hazards (primary and
secondary), wildfires, geologic issues (landslides, subsidence, etc.), flooding, climate change, and other natural
hazards. In addition, most communities also focus on human -made conditions such as crime, infrastructure failure,
or pandemic, that could impact community. As part of this update, it will be essential to focus on updated data and
information regardingthese hazards and particular conditions within the Town of Los Altos Hills and surrounding
cities since hazards do not respect boundary lines.

SCOPE OFWORK (Revised October 14,2021)
Our proposed work plan to complete the Housing Element Update is outlined below. The scope includes all of the
tasks requested in the scope of work contained in the Request for Proposals (RFP). We added an Affirmatively
Furthering Fair Housing (AFFH) chapter and analysis not mentioned in the RFP.
We recommended thatthe number of engagement events be modified to fit the anticipated scope of issues and
available time within the statutory adoption period. We have also proposed a few optional tasks and alternatives for
consideration including addition of a policy and programs studysession, stakeholder interviews, and recommended
alternatives to save time and money, and improve engagement results.
Our Cost Proposal is based on the tasks as described and the specific assumptions and limitations noted; however,
we are flexible and happy to work with the Town of Los Altos Hills (Town, City) to refine and customize the Scope of
Work to meet your needs and desires. Additional services and support for the tasks not included in our Scope can be
provided upon request, at an additional cost.
Task 1- Project Management and Coordination
Task 1.1 Project Kickoff Meeting
At the Project Kickoff Meeting, the Michael Baker Project Team will hold a teleconference meeting with City staff to
review and refine the scope of work, discuss expectations, assumptions, collect information sources, and go through
the projectschedule and work plan for carrying out the work. This will include a discussion and evaluation of the
data and analyses prepared by the ABAG's Regional Housing Technical Assistance Program/Santa Clara County
Collaborative (Collaborative) toassess the status and value of existing and forthcoming information.
We will also take this opportunity to agree on the best and preferred methods for ensuringregular communication
with the City, including conference calls, progress reports, or other communication methods. Our work plan will
include information regarding Quality Assurance/Quality Control (QA/QC) protocols and project management items
agreed upon atthe Kickoff Meeting. After the Kickoff Meeting, we will develop a detailed projecttimeline with
milestones beginning with review of the 2015-2023 Housing Element Update and an initial review and discussion of
opportunity sites proceeding through City Counciladoption by theJanuary3l, 2023 statutory adoption deadline.

We recommend scheduling a standing conference call approximately every two weeks throughout the project. These
calls provide an opportunity to review tasks in progress, share information, identify and resolve any issues early,
and review key milestones and upcoming deliverables. The Project Team will also communicate with the City staff by
email and phone throughout the project, independent from the scheduled calls. In addition, this task provides for
weekly tracking/monitoring of the project schedule and monthly billing and invoicing. Meetings will be conducted via
Microsoft Teams, Cisco Web Ex, or Zoom to faci I itate team schedules and minimize travel time and costs throughout
the project, respecting varying COV ID -19 protocols between team members and the City while maintaining project
momentum.

One of the most critical aspects of the Housing Update Element process is the importance of the public
participation process.The Housing Element, and the newly added AFFH analysis in particular, relies heavily upon
local knowledge to supplement and better understand the data and housing issues at hand, as well as, creating the
programs that work bestto serve local and regional needs—and no better source of local knowledge are the
residents, stakeholders, and leaders residing in the Town of Los Altos Hills who will help shapethe tailored housing
solutions for their community.
The State of California has passed several laws that have dramatically changed the landscape of housing planning.
For local communities, these laws are complicated, confusing, and/or are so new thatthe impact is uncertain. Some
of these laws have strict requirements and limitthe ability of local jurisdictions to customize planning policies to
their own preferences. For these reasons, we propose conductingan initial study session for the City Council so that
information can be provided, vetted, and explored for its impact on the Housing Element.
Michael Baker also recognizes the importance and significance of involving those hard -to -reach groups and special
needs populations, such as persons experiencing homelessness, elderly residents, single -parent households, non-
English speaking individuals, persons with disabilities, and racial/ethnic minority families. Specifically, 32% of City
residents are Asian/Pacific Islander, approximately 37% of residents speak a non-English language at home, and
27% of the population is over 65 -years old. Based on City feedback, moderate -income families such as government
employees and teachers are priced out of the local housing market, which also makes them a priority group to
reach. Our strategy for public participation includes using multiple forms of outreach and offering a variety of
options for community members to engage and share information abouttheir neighborhoods and experiences.
A successful community participation strategy recognizes that different populations engage differently with
outreach efforts and includes a range of opportunities for engagement. Some populations prefer to engage through
online surveys or via social media. Others engage better in open meeting settings or prefer low technology (such as
elderly persons), while some prefer more intimate or spontaneous events. We will customize the plan for the City to
maximize outreach, with a focus on populations that may be marginalized or under -represented in the public sphere.
We have outlined a general approach for the Housing Element public outreach process below, which will be further
refined with key City staff.
We have the right experience in both in-person and virtual community engagement and have a wide range of tools at
our disposal (usingonline, print, and telephone methods) to facilitate a meaningful dialogue with the community. As
we have continued to provide our clients with the same services through COVID-19 we have refined our approach
using virtual tools to reach the broadest audience.

Housing Works, Let's Talk Hous ingwebs ite, and other resources. Building from these efforts, Michael Baker's
engagement materials will continue toed ucatethe community on housing element laws, fair housing laws, and
affordable housing programs and policies that the Town identifies as important.

If appropriate, we will provide the outreach materials (e.g., flyers, handouts, surveys) in English and a second
language, and translation services would be limited to these documents and the translation of comments from the
public into English. We will provide interpretation services for one non-English language (of the City's choosing) at
the two workshops through vendor translation services or will use City recommended in-house staff or local
interpreters that are experienced with City specific outreach, if preferred. Michael Baker assumes that the City will
provide the equipmentfor interpretation services along with audio and visual equipment needed for in-
person/virtual meetings. Michael Baker will provide the City with a draft version of outreach materials for their

Task 2.3.1 Community Workshops (2)
We propose two online/virtual (live) community workshop presentations atdifferenttimes to meet with community
residents, agencies, and key stakeholders. Utilizingthis meetingformat, we will provide a brief presentation
summarizing the Housing Element Update process, background and contextual information including purpose, goals,
objectives, contents and key issue and concerns. The presentations will include interactive live polls with the public
followed by brief discussions of the results as well as questions and answersthroughoutthe workshops. A key
advantage of online is that it makes the meetings more convenient for individuals to attend from their homes or
remotely; and it can be more easily accessible to some residents who would otherwise have to find transportation or
have mobility issues. Another advantage of the online platforms is the ability to record the workshops for later
viewing, sharing and summary. This includes transcripts of the written questions and answers, and information on
workshop attendance. We anticipate having two to three members of Michael Baker's outreach team present at

these meetings to facilitate community feedback and answer questions. ProjectTeam staff will prepare the

includethe same presentation materials and information. One workshop will includethe City Council and Planning
Commission and a focus on State Housing Law and HCD requirements.
Task 2.3.2 Initial City Councilor Joint CC/ PC Study Session (Combined with Task 2.3.1)
We wilIcon duct asingle study session with the City Council and/or the Planning Commission early in the process to
inform interested parties of the undertaking and to seek input on specific key issues and opportunities, and key
components of the Housing Element Update. This session can also discuss the statutory and the dramatically
increased HCD authority, expectations, review requirements and scrutiny to obtain certification. A key objective is to
review, prioritize, and strategize the specific accomplishments, timelines, and resources for the programs/goals.
The Project Team will prepare a presentation for the meeting. This task assumes City staff will be responsible for
assistance with logistical support and preparation of a staff report. This task assumes the Project Team will attend
the study session virtually through anon line platform. In-person attendance can be arranged on an additional time
and materials basis.
Task 2.3.3 Stakeholder Focus Groups / Interviews (up to 15 Interviews)
Engagement of and in put from local advocacy groups, minority and special needs populations are important to the
Housing Element Update and will be required by HCD. We recommend engaging them early in the update process to
receive feedback. The Project Team will work with the City to conduct three stakeholder focus group meetings to
discuss the Housing Element Update and receive feedback on current and proposed programs. We will work closely
with City staff to identify stakeholders that represent a broad cross-section of the Town of Los Altos Hills so that the
housing issues include market rate developers, affordable housing developers and fair housing advocates, and
community-based organizations. We find that targeted stakeholder interviews are muc h eas ier to sc hed ule and
attend and save a lot of time and resourcesfor all involved.
2.3.4 Online Housing Needs Survey
We will prepare an online community housing needs survey, which is another key method to obtaining valuable
information. The survey has the advantage of occurring over a longer period, including bracketing other engagement
events to provide more input and follow-up comments. The survey is recommended to be relatively simple to
encourage participation, and would focus on identifying housing needs, opportunities, issues, priorities, and
recommended policies. We recommend the survey be kept open throughout the engagement period covering
development of the housing element up to and including the public review periods. It would close before public
hearings on the draft elements or can be modified to collect comments on the public review d raft.
To help reach priority populations, such as low-income families, non-English speaking individuals, and large and
multigenerational families, Michael Baker with work with the Town to collaborate with lodal nonprofits, City
departments, and agencies to distribute marketing materials and the survey totheir clients.

appendices that will require updates for internal consistency.

ABAG's Regional Housing Technical Assistance Program will provide useful content such as jurisdiction -specific
graphs and write-ups for most required data, including population, demographics, housing, market conditions, and
regional comparisons. This task assumes that use of this data will be considered by HCD as a "Safe Harbor." We will
evaluate and incorporate this information to the extent possible. However, this task assumes a small to modest time
and cost savings as a result of the use of this data. The majority of the data and analysis will be provided by data
packets that have been pre -reviewed by HCD for consistency with state requirements to increase predictability in
the Housing Element approval process. City staff will download the editable Word Document version of the Los Altos
Hills Housing Needs Data Packet from the Housing Element Site Selection (HESS) Tool.

Task 3.3 Affirmatively Furthering Fair Housing (AFFH)
Michael Baker will prepare and incorporate a new chapter for the AFFH analysis. Not specifically mentioned in the
R FP scope of services, the new chapter will be prepared pursuant to HCD's recent guid el i n es an d d evelop in g review
comments and requirements. The federal AFFH rule requiresthe jurisdiction to take "deliberate action to explicitly
add ress, combat, and relieve d isparities resulting from past and current patterns of segregation to foster more
inclusive communities." Assembly Bill 686 extended this AFFH requ i rement to cities and counties in California. Cities
must incorporate fair housing issues, analysis, goals, and actions when updating their housing element. As such, we
will prepare an analysis of fair housing issues, identify contributing factors, develop goals and actions, and review
prior goals and actions. Fair housing issues to be assessed include review of fair housing enforcement an d capacity,
segregation and integration, racially/ ethnically concentrated areas of poverty, access to opportunity, and
disproportionate housing needs and displacement risk. Analysis will consider local and regional patterns and trends,
and local data and knowledge gathered from effective commu nity engagement.
Michael Baker prepared the 2020-2025 Consolidated Plan for Santa Clara County and most cities. The AFFH
chapter will incorporate relevant data and analyses contained in the consolidated plan, regional analysis of
impediments, and consolidated annual performance and evaluation report. We will review, assess, and integrate as
appropriate the data and analyses provided by the ABAG'sHousing Technical Assistance Program/County
Collaborative.
As authors of the 2020-2025 County Consolidated Plans, Michael Baker is very familiar with the existing data,
analysis, local knowledge, community resources, past goals, and progress on those goals. We will build upon those
efforts with updated data, community needs, analysis, and new goals and actions so that this analysis will be a
continuation and extension of these ongoing efforts.
The City has identified housing -related strategies in its 2020-2025 Consolidated Plan, and has existing housing
programs such as homeownership incentives (emergency housing resources, below-market rate program, County's
first-time homebuyer, and rehabilitation), affordable housing units resource list, fair housing services, inclusionary
housing or incentive ordinance, commercial linkage fee, density bonus, and reasonable accommodation request,
that Michael Baker will incorporate into the AFFH goal setting.
Michael Baker has worked closely with HCD tofulfill the new and extensive AFFH guidance and HCD requirements.
The goal setting process task requires extensive inputfrom City staff and stakeholders/community to provide local
knowledge and explanations of the contributing factors for a variety of fair housing issues and will require a
commitment to development of new goals or programs to directly address and resolve fair housing issues. The
programs will require clear, measurable, and enforceable outcomes, geographic specificity, and timelines.
Please note that certification of the housing element will depend on HCD's determination as to whether the
programs will achieve significant and meaningful results. Michael Baker will prepare draft goals for review by the

City and community/stakeholders; however, City staff and community/stakeholderswiII need to commit to and

informed, prepared, and ultimately successful in taking meaningful action tofu rtherfair housing in its community.

Task 3.4 Housing Resources and Sites in ventory
Asa critical path item, we will begin this task as soon as possible. The City's draft RHNA is 489 units, an increase of
400% over the 5th Cycle RHNA of 121. The City's healthy rate of ADU construction (roughly 25 per year) and the
recent survey of rent and affordability, while substantial and helpful, will not be enough to meetthe RHNA. The
Foothills College site appears to be the best opportunity to meet the estimated balance of roughly 300 units over the
next 8 years. Other institutional properties, City -owned land, and annexation will need to be evaluated as well.
Upzoningto multi -family may provide potential mathematically but would not appear to be feasible based on land
values without significant gift, donation, or significant subsidy.
Optional Market Feasibility Tests. This task includes approximately 40 hours of senior economist time to
evaluate market data and test development scenarios and help demonstrate the feasibility of
redevelopment of non -vacant sites for inclusion as opportunity sites.
Optional Rezoning Analyses. If rezoning is necessary to meet the RHNA obligations, Michael Baker work with
City staff to identify potential areas for rezoningto maintain an adequate housing sites inventory throughout
the eight-year planning period. This task assumes up to three alternative RHNA site combinations.
We have proposed a time and materials budget of approximately $9,500 to develop and evaluate rezoning
scenarios. The rationale, methodology, and assumptions for any recommended rezoning areas will be
incorporated into the sites inventory and resources chapter. If necessary, City staff will work with and seek
letters of support from affected properties for inclusion in the site inventory and for potential development of
housing or mixed-use development with in the eight-year planning period.

constrain the development, improvement, and preservation of housing in Los Altos Hills. Factorsto be reviewed
include market, governmental, environmental, and infrastructural constraints. New housing laws require the
assessment of nongovernmental constraints, including NI MBYism, lending practices, shortage of labor, and other
economic factors. ABAG's Regional Housing Technical Assistance Program is expected to provide all cross -
jurisdictional comparisons necessary for this task (e.g., comparison of fees and processing time). Itwill also provide
write ups of typical countywide non-governmental constraints, including community opposition to housing, cost of
construction, limited availability of land and other topics. Michael Baker will verify and incorporate this data as
appropriate. A small time and costsavings is anticipated from use of this information.

includes one set of revisions made during the 60 -day HCD review period (if preliminary comments are provided),
and preparation ofthe Final Draft Housing Element for the Planning Commission and City Council adoption hearings
to address public review comments and the HCD 60 -day compliance review letter.

Task 5 - California Environmental QualityAct (CEQA)
It is not known whether the City has adequate sites to meet the 6th Cycle RHNA. It may be possible the Housing
Element could be adopted with preparation of an Addendum or an Initial Study (Mitigated) Negative Declaration
(IS/MND). Any required rezoning to meet the RHNA or otherwise obtain HCD certification may exceed the
assumptions and analyses of the 2007 General Plan. Traffic and associated air quality, noise and greenhouse gas
impacts are the most likely to require further analysis. We noted that the Circlation Element was updated in 2015.
This task will include a review of the 2015 Circulation Element and associated technical studies to determine
whether any rezoning would trigger further analysis or impacts that have not been adequately evaluated.
The City has up to th ree years to implement any rezoning changes. It does not appear thatthere is adequate time to
complete preparation and review of the specific rezoning programs and EIR level environmental analyses before the
statutory deadlines for adoption of the Housing Element between Januaryand May 2023. Therefore, if required, we
recommend that any upzoning or rezoning be adopted independently of the Housing Element. In this manner, the
adoption of the Housing Element would not be delayed.
Task 5.1 Project Initiation
Michael Baker recommends a Kickoff Meeting (via Zoom or Microsoft Teams) with the City to discuss the
environmental constraints and considerations for the project. The Kickoff Meeting will be conducted to initiate the
work effort, discuss the project's key environmental considerations, review the project schedule, and confirm local
CEQA processes. Following the project Kickoff Meeting, Michael Baker will prepare a draft project description for the
proposed project for review and comment by City staff. This can begin when the sites analysis is complete, and the
nature and extent of any necessary rezoning can be determined. This will allow a preliminary evaluation of potential
impacts and determination of the appropriate CEQA documentation. After receiving comments and making the
appropriate changes, we will submit a revised version of the project description, which will be the basis for the
project's environmental analysis. The project description, once complete, will be used as the basis for all technical
studies developed for the project.

Task 5.2 Administrative Draft Initial Study
As a part of the Initial Study process, Michael Baker's technical team will review all technical studies prepared for
the 2007 GP EIR and 2015 Circulation Element Update to determine the potential for significant impacts. This will
allow our team to determine early in the CEQA process whether an IS/MND, Addendum or Amendment to the GP
EIR, or a stand-alone EI R should be prepared and will help to reduce the overall CEQA compliance timeline.
Using the City's latest CEQA Initial Study and Environmental Checklist format, the Project Team will prepare an
ad ministrative draft Initial Study for review by City staff. The Initial Study will provide written responses to each
question on the Environmental Checklist that describe and qualitatively and/or quantitatively evaluate the project's
impact related to each topic. Each response will include a conclusion regarding the significance of the project's
impact, which may be determined to be potentially significant, potentially significant unless mitigated, less than
significant, or nonexistent (i.e., no impact). Michael Baker will provide the City with an administrative draft Initial
Study for City review.

and defined in detail. If afuII E I R is required, the additional fee would likely range from $150k to $250k. We will also
consider and discuss with you the possibility of accomplishing the environmental analysis through an Addendum or
Amendment to the 2007 GP EIR. An MND or an Adden dumtothe 2007 GP EIRare the preferred options and least
costly by far, averaging around $30,000. An Amendment to the 2007 GP E I R would likely range closer to $150k. Our
team would discuss and agree upon this refined effort, scope, and budget required to complete the CEQA review
process with the City prior to initiating any work.
Task 6 - Housing Element Adoption and Certification

The Michael Baker team will prepare for and attend one Planning Commission hearing and one City Council hearing
for the adoption of the Housing Element Update. Up to two members of the Michael Baker team will be available to
attend each hearing and respond to comments and questions. This task also includes preparation of one flyer
advertising all both hearings. This task City staff will be responsible for room reservations, required public notices,
and staff reports for these meetings. We will collaborate with City staff to prepare and deliver presentations for each
public hearing. It is assumed Michael Baker will attend and coordinate all workshops and hearings virtually through
online engagement platforms, due to ongoing varying COVID-19 protocols among participants. If desired, in-person
attendance can be provided on a time and materials.

Task 6.2 State Certification
After adoption, the Housing Element Update must be submitted to HCD for its final review. We will serve as the City's
liaison with HCD and will assist the City in achieving certification of the Housing Element. This task assumes an HCD
letter of substantial compliance on the public review or adopted draft. We have proposed a time and materials
budgetto address final technical revisions that HCD may require for certification.

Task 7 - Safety Element
Since the City is updating its Housing Element, in accordance with state law, the Housing Element Update requires
updating Safety Element. Government Code Section 65302 (g) (1) governs the requirements of a Safety Element.
This section identifies the need for cities and counties to understand their vulnerabilities to hazards such as seismic
hazards (primary and secondary), wildfires, geologic issues (landslides, subsidence, etc.), flooding, climate change,
and other natural hazards. In addition, most communities also focus on human -made conditions, such as crime,
public health crises, power outages, and handling of hazardous materials that could impact a community. As part of
this update, it will be essential to focus on updated data and information regarding these hazards, with attention to
conditions within Los Altos Hills and surrounding cities, as hazards do not respect boundary lines.
The Safety Element will also include the necessary framework and information to comply with SB 379 requirements,
which went into effect on January 1, 2017. This legislation requires integratingthe Local Hazard Mitigation Plan
(LHMP) and/or Emergency Management Plan into the Safety Element at the time of the update. The Michael Baker
Team will work with the City to ensure the plans and programs are complementary to one another.
Task 7.1 Data Collection
It is anticipated thatthe project kick-off meeting City staff will provide the Project Team with guidance regarding data
sources to aid in the collection process, GISdata files, and all relevant existing documents and materials.
Michael Baker will evaluate the existing data and identify additional data needs. It is assumed data will be collected
from in-house sources and outside agencies. Sources of data may include but are not limited to the following:
» City's planning, public works, and emergency management department
City's Municipal Code
Santa Clara County Hazard Mitigation Plan
>> CalFire
» Cal Adapt
Federal Emergency Management Agency
California Department of Conservation (DOC) geologic and seismic activity data
If additional technical studies are required, the Project Team will identify whether a change in scope of work will be
necessary to assist the City in addressing additional needs.
Task 7.2 Existing Conditions and Mapping
Michael Baker will document and provide relevant mapping for existinghazards recognized and experienced in Los
Altos Hills under the following categories:

Evacuation Routes
Areas Without Access to Two Evacuation Routes
Geologic Hazards/Seismic Activity

Hazard information will be cross-referenced with the parcel, road, hydrologic, and other data to prepare meaningful
and applicable maps to help the City with decision making. Pursuant to Government Code 65302 (g), this includes
identifying residential developments in any hazard area identified in the Safety Element that does not have at least
two emergency evacuation routes.
Task Deliverables:
Screencheck Existing Conditions Section (text and graphic mock-ups)
Provide one (1) revision to the Existing Conditions Section based on City comments
Task 7.3 Draft SafetyElementand Consultations
The Project Team will prepare a screen check draft Safety Element for initial staff review. This will include an
introduction, existing conditions, relationship to other elements, and goals and policies. Based on OPR guidelines,
the safety element must include a vulnerability assessment if it has not been performed as a part of the Local
Hazard Mitigation Plan. Ourscope assumes that City's LHMP includes a vulnerability assessment. If not, Michael
Ba kercan assist the City with performinga Vulnerability Assessment for additional costs. Following City review of
the screencheck draft and receipt of initial comments, we will revise it to create an administrative draft. The
comments received on the administrative draft will be incorporated to prepare a public review draft.
Consultation with CalFire is now required for communities with areas in Very High Fire Hazard Area (VHFHA) and
State Responsibility Areas (SRA). There are no VHFHA areas identified in Cal Fire maps within Los Altos Hills, and
hencethe consultation may not be necessary. However, Calfire is in the process of updatingthefire hazard maps
that will now include wind modeling and may change hazard designations within the City.
Task Deliverables:
One (1) electronic tile of Draft Safety Element
Coordination with CalFire (if required)
Task 7.4 Final SafetyElement
The comments received during public review will be incorporated as necessary to create a hearing d raft that will be
used for Planning Commission and City Council review. This will be made available to the public as well and used in
the public hearings. The Project Team will also assist the City staff in preparing a staff report and resolutions for
adoption.
Following public hearings before the Planning Commission and the City Council and confirmation with City staff of
desired changes, the Michael Baker Team will revise and finalize the Safety Element.
Task Deliverables:
One (1) electronic tile of Final Safety Element
• Hard copies of Final Safety Element- on a cost per materials basis
• One (1) Planning Commission public hearing and presentation as appropriate
One (1) revision to Draft Safety Element it deemed necessary

Assumptions and Exclusions:
1. All draft and final deliverables will be in electronic format (Microsoft Word, PDF, PowerPoint, Excel).
2. Consultant attendance at meetings and hearings will be via Microsoft Teams, Web Ex, Zoom, or equivalent,
except where specifically noted. In-person attendance at meetings, workshops, and hearings will be charged on
a time and materials basis includingall travel time and expenses.
3. This Scope and Cost Proposal do not include preparation of any CEQA documentation or analyses required aside
from an Administrative Initial Study. The HEU could be approved subject to an Addendum or Amend ment that
tiers off of the 2007 GP EI R. Alternatively, an MND or El could be required. It is assumed all CEQA studies,
documentation, and public notification and outreach required for any of the options listed above would be
determined after completion of the Administrative IS and included under a separate scope and fee.
4. Rezoning and required CEQA analyses and documentation are not included in this scope. Any necessary
rezoning will be subject to a separate CEQA review under a separate scope and fee.
5. The Project Team and City will rely on the content and accuracy and adequacy of the data provided by the
County collaborative and ABAG Regional Housing Technical Assistance Program for the Needs Analysis,
Constraints Analyses, Sites Inventory, and Affirmatively Furthering Fair Housing. This includes Los Altos Hills-
specific:

a. Needs Analysis graphs, data, and discussion points for all required data, including population, demographic,
housing, market conditions and regional comparisons;
b. Constraints analysis includingall cross jurisdiction al comparisons necessary forth is task (e.g., comparison

community opposition to housing, cost of construction, limited availability of land and other topics;
c. Site inventory initial analysis utiIizingABAG's HESS Tool; and

6. City and fair housing service provider(s) will document local fair housing services and demonstrate compliance
with and enforcement of all fair housing laws.
7. City staff will provide GIS map layers and parcel data including geocoded address and rectified (removal and
resolution of duplicate or missing) APN for development project sites that have been built, approved and
pending entitlement during the 2015-2023 cycle.
8. City wilIcon duct any necessary tribal consultations.
9. City staff will identify potential eligible sites based on local knowledge. If necessary, City staff will identify and
contact property and business owners to obtain information to identify the likelihood of development, recycling,
or redevelopment of the site within the 6th cycle planning period.
10. City staff will provide summaries of the relevant specific plans and assumptions regarding development
potential d uring the 6th cycle planning period including developer contact and opinion, market, pro -forma
studies and other technical studies.
