HomeMy WebLinkAboutSandis Humber JonesAGREEMENT BY THIS AGREEMENT made and entered into on the 3rd day of November, 2005, by and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as TOWN) and: Sandis Humber Jones 1700 Broadway Oakland, CA 94612 (510) 873-8866 (hereinafter referred to as CONSULTANT). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONSULTANT. Shall provide or furnish the following specified services and/or materials: Engineering Services for the engineering design services for the Moody Road/El Monte Road Pathway/Bike Lane Project (Segment 2, the Foothill College Pedestrian / Equestrian Trail / Bike Lane Project) as outlined in Exhibit "A." 2. EXHIBITS. The following attached exhibits hereby are made a part of this Agreement: Exhibit "A": Scope of Work, Schedule and Budget from CONSULTANT 3. TERMS. The services and/or materials furnished under this Agreement shall commence on November 7, 2005 and shall be completed by March 7, 2006. 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONSULTANT: Time and materials not to exceed $38,500.00 as further described in Exhibit "A". 5. GENERAL TERMS AND CONDITIONS. a. HOLD HARMLESS with respect to operations. CONSULTANT agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONSULTANT under this Agreement. Professional Services: As respects to the performance of Professional Services under this Agreement, CONSULTANT shall indemnify and hold harmless the TOWN, including officers, employees, agents, and employees from any and all claims, demands, costs including but not limited to reasonable attorney's fee and other costs of defense, or liability to the extent arising from or connected with the Services provided hereunder due to negligent act, errors, omissions or willful misconduct of the Consultant or anyone for whom CONSULTANT is legally responsible. b. INSURANCE. CONSULTANT shall file with the TOWN a certificate of insurance before commencing any services under this agreement meeting minimum coverage requirements established by TOWN's City Manager. c. NON-DISCREVIINATION. No discrimination shall be made in the employment of persons under this agreement because of the race, color, national origin, age, ancestry, religion or sex of such person. d. INTEREST OF CONSULTANT. It is understood and agreed that this agreement is not a contract of employment in the sense that the relation of master and servant exists between the TOWN and undersigned. At all times CONSULTANT shall be deemed to be an independent CONSULTANT and CONSULTANT is not authorized to bind the TOWN to any contracts or other obligations. In executing this agreement, CONSULTANT certifies that no one who has or will have any financial interest under this agreement is an officer or employee of the TOWN. e. CHANGES. This agreement shall not be assigned or transferred without the written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. f. TERMINATION. This agreement may be terminated by the TOWN upon thirty (30) days written notice to CONSULTANT. CONSULTANT may terminate this agreement upon thirty (30) days written notice to the TOWN. Monies then owing based upon work satisfactorily accomplished shall be paid to CONSULTANT. 6. INVOICING. All invoices shall be mailed or delivered to the attention of the City Engineer (contract coordinator) at the address below. This Agreement shall become effective upon its approval and execution by TOWN. In witness whereof, the parties have executed this Agreement the day and year first written above. Our proposal is based on project meeting, the conceptual trail alignment and our recent telephone conversations, We propose to provide the following scope of services: SURVEYING SERVICES SUPPLEMENTAL TOPOGRAPHIC SURVEY $3,500 We propose to provide a Supplemental Topographic Survey at a scale of 1" = 20' This survey will provide additional topographic detail and show the location of existing trees, walkways, fences, adjacent roadways, and utility information within the project areas. The location of utility vaults, manholes, catchbasins and invert information of Storm and Sanitary Sewers will be shown based upon a field survey, The location of underground utilities lines such as gas, water, electric, and any on-site utilities will be shown based upon available agency records. Mechanical detection of existing utilities is specifically excluded. Contours will be shown at one (1) foot intervals or as appropriate to clearly define the slopes, Spot elevations will be shown to an accuracy of 0 1 (one tenth) of a foot, LEGAL DESCRIPTION AND PLAT $2,500 s We will prepare an BY2"x11" Plat Exhibit and a legal description for the trail easement through the Foothill College campus. Upon approval by the Town of Los Altos Hills and Foothill College, the descriptions and plats will be certified for attachment to the amended deed.. It also assumes that the selected contractor will maintain on site, will follow it during construction, will evaluate the adequacy of the SWPPP measures during construction through the implementation of a Monitoring Program, and will update the SWPPP with additional control measures as needed. In addition, this proposal does not include annual certification to the State Water Board, notice of termination to the State Water Board, or retention of records. Attend two (2) coordination meetings with the Town of Los Altos Hills to discuss the project. e Coordinate our work with the Town of Los Altos Hills, Foothill College and Santa Clara Valley Water District. ♦ Issue one (1) full-size set of construction documents to the Town of Los Altos Hills. TIME & MATERIALS CONSTRUCTION ADMINISTRATION PHASE (NOT TO EXCEED) $7,500 ♦ Attend the pre -construction meeting. ♦ Provide two (2) site visits to observe the construction of the civil related site work. ♦ Assist the Owner/Client in Civil related Requests for Information and Contractor submittals during construction. ♦ Prepare a project punch list. TERMS AND CONDITIONS This proposal will become our agreement for services upon execution and will authorize all services listed above and encompass all provisions included in the attached Standard Provisions of Proposal, Between Client and Consultant, Form B. If you have any questions about these provisions, please call and we will discuss them with you. The scope of work included in the proposal is limited to the specific scope included and specified only. Any exclusions listed are for clarity only and does not represent a complete list of exclusions to the scope. Any additional scope proposed or done other then that listed in the proposal as included shall be done as an additional service. Agency fees will not be paid by Sandis Humber Jones and are not included in this proposal. Any of the above expenses will be charged at cost plus 15%. ♦ We assume that this project will be designed in two (2) phases. Should our work on this project be delayed or put on hold for a period of sixty (60) days or more, we reserve the option to negotiate a start-up fee. ♦ This proposal assumes that the Client will provide input during the development of the SWPPP so that the best and most const effective controls for the project can be implemented. It also assumes that the selected contractor will maintain the SWPPP on site, will follow it during construction, will evaluate the adequacy of the SWPPP measures during construction through the implementation of a Monitoring Program, and will update the SWPPP with additional control measures as needed. In addition, this proposal does not include annual certification to the State Water Board, notice of termination to the State Water Board, or retention of records. ♦ We assume right-of-way and property lines will be established by Santa Clara Valley Water District and/or by others and available in AutoCAD format for our use. ♦ This proposal is firm for sixty (60) days from the date of this letter. Our services will be provided for the amounts listed above and will be performed under the Provisions of Form B. Pursuant to state law, no work can proceed on this project without written acceptance. Please return one signed copy of this proposal and one initialed copy of Form B to our Oakland office as our authorization to proceed. We are also enclosing the "Project Information Sheet" which needs to be completed and returned prior to our starting work on this project.
