HomeMy WebLinkAboutLos Altos Hills County Fire District (2)0 REIMBURSEMENT AGREEMENT This Agreement ("Agreement") is hereby effective as of June 17 , 1998 by and between the Town of Los Altos Hills ("Town"), a municipal corporation, and the Los Altos Hills County Fire District ("District"). 1. Purpose of Agreement. In order to promote effective ingress and egress on emergency access roads in the Town during emergencies, the Town seeks to contract with a third 'party ("Contractor") to clear and/or repair certain emergency access roads within the Town. The District wishes to assist the Town by paying for the cost of clearing and/or repairing selected emergency access roads because the District's responsibilities include fire prevention and protection. 2. Reimbursement Terms. The Town agrees to hire a Contractor for the purposes of clearing and/or repairing the emergency access roads set out in Exhibit A. In consideration for the Town's supervising the clearing and/or repairing of the selected emergency access roads, the District agrees to reimburse the Town for all direct costs incurred by Contractor in clearing and/or repairing said emergency access roads not to exceed fifty thousand dollars ($50, 000) . 3. Scope of Work. The Town shall determine the scope of the clearing and/or repairing of the emergency access, roads with input from the Santa Clara County Fire Department, the entity that provides the District with fire services. 4. Reimbursement. When'the selected emergency access roads are cleared and/or repaired, the Town shall provide the District with an invoice with Contractor's invoice attached. The District agrees to reimburse the Town for all direct costs associated with the clearing and/or repair of said emergency access roads up to fifty thousand dollars ($50,000) within sixty (60) days of receipt of said invoice. The District shall not be responsible for any Town costs or expenses, including, without limitation, Town overhead costs or any late charges or interest charged by Contractor. S. Termination of Agreement. If the Town does not proceed under the terms of this Agreement within five (5) months from the date of this Agreement, the District may terminate the Agreement by providing written notice to the Town. 1 Thm\agrt-mas\fire-dis.agm 6. Liability. The Town agrees to indemnify, defend, and hold harmless the District and its officers, agents, and employees from claims, liabilities or damages of any nature, including attorneys' fees, for injury or death of any person, or damage to property, or ` interference with use of property, arising out of, or in connection with, the performance of the Agreement by the Town and its contractor, contractor's agents, officers, employees and subcontractors. 7. Notices. All notices and demands shall be given in writing either by personal service, by facsimile or by registered or certified mail, postage prepaid, and return receipt requested. Notice shall be considered given when personally delivered, when receipt of the facsimile sent is received or when the return receipt indicates delivery. This Agreement is to be interpreted in accordance with California law. This Agreement constitutes the entire agreement between the parties and supersedes all prior discussion, negotiations, and agreements whether oral or written.
