AGRREDLENT
By TMS AGREEMENT made and entered into on October, 18, 2007 by and between the TOWN OF LOS ALTOS I-ULLS
(hercina(ler referred to as TOWN) and Able Underground Coustnrcdon, at P.0- Box JAS 19, San Jose, CA, 95154 (hcreinartor
reftmd to as CONTRACTOR). In oomideration of their mutual covenants, the parTlez hereto agrov as i'ollmvs:
1. CO CTOR Shall provide Or furnish The following specified services and/or Materials:

2. EXHIBITS. The follolv'ng attached exhibit hereby are made a part of this Agreement proposal from CONTRACTOR
3. 19—U& The services and/or materials furnished tinder this Agreement shall commence by October 22, 2007 and eomVieta
by Octobcr 26, 2007. All work shall oonfbrm to all current local, ,regional, star- and federal requirements,
4. QOMENSATION_ For the full peribrmance of this Agrecinent:
a TOWN shall pay CONTRACTOR: Lump sum price of $6,997-00
b, No costs of Contractor shall be reimbursed by the Town.
HOLD HAIYNUms. Contractor agrees to indemnify, defend and hold harmless the TOWN, its, o�eers, agetrts and
employees from any and all demands, claims or liability of personal injury (includio,g death) and property damage of
�' nature, caused by or arising out of the performnnce of Contactor under this Agreernem. With regard to
Contractor's work product, Contractor agrees to indemnitj, defend and hold harmless the'1"OWN, its officers, agents

perfbrmanee of Contractor under this Agreement,

the sense that the relation of master and servitnt exists between the TOWN and undersigned. At all tunes contractor
shall be deemed to be an independent contrAotor and eantaetor is not authorized to bind the TOWN to any contram or
other obligations_ In executing be agreement, contractor certifies that no ono who hos or will have any financial
Interest under this agreement is an officer or employee of TOWN,
C. CHANGES. This agrcernem shall not be assigned or transferred without the AThten oonsxnt of the TOWN. No
