HomeMy WebLinkAboutZero Home CorporationCONSULTINGSERVICESAGREEMENTBETWEENTHETOWNOFLOSALTOSHILLSANDZEROHOMECORPORATIONTHISAGREEMENTforconsultingservicesismadebyandbetweentheTownofLosAltosHills(“Town’)andZeroHomeCorporation(‘Consultant’)(togetherreferredtoasthe“Parties”)asofOctober20,2022(the“EffectiveDate”).Section1.SERVICES.SubjecttothetermsandconditionssetforthinthisAgreement,ConsultantshallprovidetoTowntheservicesdescribedintheScopeofWorkattachedasExhibitA,andincorporatedherein,atthetimeandplaceandinthemannerspecifiedtherein.IntheeventofaconflictinorinconsistencybetweenthetermsofthisAgreementandExhibitA,theAgreementshallprevail.1.1TermofServices.ThetermofthisAgreementshallbeginontheEffectiveDateandshallendonOctober20,2023.thedateofcompletionspecifiedinExhibitA,andConsultantshallcompletetheworkdescribedinExhibitAonorbeforethatdate,unlessthetermoftheAgreementisotherwiseterminatedorextended,asprovidedforinSection8.ThetimeprovidedtoConsuftanttocompletetheservicesrequiredbythisAgreementshallnotaffecttheTown’srighttoterminatetheAgreement,asreferencedinSection8.1.2StandardofPerformance.ConsultantshallperformallservicesrequiredpursuanttothisAgreementaccordingtothestandardsobservedbyacompetentpractitioneroftheprofessioninwhichConsultantisengaged.1.3AssignmentofPersonnel.ConsuftantshallassignonlycompetentpersonneltoperformservicespursuanttothisAgreement.IntheeventthatTown,initssolediscretion,atanytimeduringthetermofthisAgreement,desiresthereassignmentofanysuchpersons,Consultantshall,immediatelyuponreceivingnoticefromTownofsuchdesireofTown,reassignsuchpersonorpersons.1.4Time.ConsultantshalldevotesuchtimetotheperformanceofservicespursuanttothisAgreementasmaybereasonablynecessarytomeetthestandardofperformanceprovidedinSection1.1aboveandtosatisfyConsultant’sobligationshereunderSection2.COMPENSATION.TownherebyagreestopayConsultantasumnottoexceedFiveThousandandFiveHundreddollarsandzerocents($5,500),notwithstandinganycontraryindicationsthatmaybecontainedinConsultant’sproposal,forservicestobeperformedandreimbursablecostsincurredunderthisAgreement.IntheeventofaconflictbetweenthisAgreementandConsultant’sproposal,attachedasExhibitA,regardingtheamountofcompensation,theAgreementshallprevail.TownshallpayConsultantforservicesrenderedpursuanttothisAgreementatthetimeandinthemannersetforthherein.ThepaymentsspecifiedbelowshallbetheonlypaymentsfromTowntoConsultantforservicesrenderedpursuanttothisAgreement.ConsultantshallsubmitallinvoicestoTowninthemannerspecifiedherein.ExceptasspecificallyauthorizedbyTowninwriting,ConsultantshallnotbillTownforduplicateservicesperformedbymorethanoneperson.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage1of14
ConsultantandTownacknowledgeandagreethatcompensationpaidbyTowntoConsultantunderthisAgreementisbaseduponConsultant’sestimatedcostsofprovidingtheservicesrequiredhereunder,includingsalariesandbenefitsofemployeesandsubcontractorsofConsultant.Consequently,thepartiesfurtheragreethatcompensationhereunderisintendedtoincludethecostsofcontributionstoanypensionsand/orannuitiestowhichConsultantanditsemployees,agents,andsubcontractorsmaybeeligible.TownthereforehasnoresponsibilityforsuchcontributionsbeyondcompensationrequiredunderthisAgreement.2.1Invoices.Consultantshallsubmitinvoices,notmoreoftenthanonceamonthduringthetermofthisAgreement,basedonthecostforservicesperformedandreimbursablecostsincurredpriortotheinvoicedate.Invoicesshallcontainthefollowinginformation:•Serialidentificationsofprogressbills;i.e.,ProgressBillNo.1forthefirstinvoice,etc.;•Thebeginningandendingdatesofthebillingperiod;•ATaskSummarycontainingtheoriginalcontractamount,theamountofpriorbillings,thetotalduethisperiod,thebalanceavailableundertheAgreement,andthepercentageofcompletion;•AtTown’soption,foreachworkitemineachtask,acopyoftheapplicabletimeentriesortimesheetsshallbesubmittedshowingthenameofthepersondoingthework,thehoursspentbyeachperson,abriefdescriptionofthework,andeachreimbursableexpense;•ThetotalnumberofhoursofworkperformedundertheAgreementbyConsultantandeachemployee,agent,andsubcontractorofConsultantperformingserviceshereunder;•TheConsultant’ssignature;•ConsultantshallgiveseparatenoticetotheTownwhenthetotalnumberofhoursworkedbyConsultantandanyindividualemployee,agent,orsubcontractorofConsultantreachesorexceeds800hourswithina12-monthperiodunderthisAgreementandanyotheragreementbetweenConsultantandTown.SuchnoticeshallincludeanestimateofthetimenecessarytocompleteworkdescribedinExhibitAandtheestimateoftimenecessarytocompleteworkunderanyotheragreementbetweenConsultantandTown,ifapplicable.2.2MonthlyPayment.Townshallmakemonthlypayments,basedoninvoicesreceived,forservicessatisfactorilyperformed,andforauthorizedreimbursablecostsincurred.Townshallhave30daysfromthereceiptofaninvoicethatcomplieswithalloftherequirementsabovetopayConsultant.2.3FinalPayment.Townshallpaythelast10%ofthetotalsumduepursuanttothisAgreementwithin60daysaftercompletionoftheservicesandsubmittaltoTownofafinalinvoice,ifallservicesrequiredhavebeensatisfactorilyperformed.2.4TotalPayment.TownshallpayfortheservicestoberenderedbyConsultantpursuanttothisAgreement,TownshallnotpayanyadditionalsumforanyexpenseorcostwhatsoeverincurredbyConsultantinrenderingservicespursuanttothisAgreement.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage2of14
Townshallmakenopaymentforanyextra,further,oradditionalservicepursuanttothisAgreement.InnoeventshallConsultantsubmitanyinvoiceforanamountinexcessofthemaximumamountofcompensationprovidedaboveeitherforataskorfortheentireAgreement,unlesstheAgreementismodifiedpriortothesubmissionofsuchaninvoicebyaproperlyexecutedchangeorderoramendment.2.5HourlyFees.FeesforworkperformedbyConsultantonanhourlybasisshallnotexceedtheamountsshownonthecompensationscheduleattachedheretoasExhibitA.2.7PaymentofTaxes.ConsultantissolelyresponsibleforthepaymentofemploymenttaxesincurredunderthisAgreementandanysimilarfederalorstatetaxes.2.8PaymentuponTermination.IntheeventthattheTownorConsultantterminatesthisAgreementpursuanttoSection8,theTownshallcompensatetheConsultantforalloutstandingcostsandreimbursableexpensesincurredforworksatisfactorilycompletedasofthedateofwrittennoticeoftermination.Consultantshallmaintainadequatelogsandtimesheetstoverifycostsincurredtothatdate.2.9AuthorizationtoPerformServices.TheConsultantisnotauthorizedtoperformanyservicesorincuranycostswhatsoeverunderthetermsofthisAgreementuntilreceiptofauthorizationfromtheContractAdministrator.Section3.FACILITIESANDEQUIPMENT.Exceptassetforthherein,Consultantshall,atitssolecostandexpense,provideallfacilitiesandequipmentthatmaybenecessarytoperformtheservicesrequiredbythisAgreement.TownshallmakeavailabletoConsultantonlythefacilitiesandequipmentlistedinthissection,andonlyunderthetermsandconditionssetforthherein.Townshallfurnishphysicalfacilitiessuchasdesks,filingcabinets,andconferencespace,asmaybereasonablynecessaryforConsultant’susewhileconsultingwithTownemployeesandreviewingrecordsandtheinformationinpossessionoftheTown.Thelocation,quantity,andtimeoffurnishingthosefacilitiesshallbeinthesolediscretionofTown.InnoeventshallTownbeobligatedtofurnishanyfacilitythatmayinvolveincurringanydirectexpense,includingbutnotlimitedtocomputer,long-distancetelephoneorothercommunicationcharges,vehicles,andreproductionfacilities.Section4.INSURANCEREQUIREMENTS.BeforebeginninganyworkunderthisAgreement,Consultant,atitsowncostandexpense,unlessotherwisespecifiedbelow,shallprocurethetypesandamountsofinsurancelistedbelowagainstclaimsforinjuriestopersonsordamagestopropertythatmayarisefromorinconnectionwiththeperformanceoftheworkhereunderbytheConsultantanditsagents,representatives,employees,andsubcontractors.Consistentwiththefollowingprovisions,ConsultantshallprovideproofsatisfactorytoTownofsuchinsurancethatmeetstherequirementsofthissectionandunderformsofinsurancesatisfactoryinallrespects,andthatsuchinsuranceisineffectpriortobeginningworktotheTown.ConsultantshallmaintaintheinsurancepoliciesrequiredbythissectionthroughoutthetermofthisAgreement.ThecostofsuchinsuranceshallbeincludedintheConsultant’sbid.ConsultantshallnotConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage3of14
allowanysubcontractortocommenceworkonanysubcontractuntilConsultanthasobtainedallinsurancerequiredhereinforthesubcontractor(s)andprovidedevidencethatsuchinsuranceisineffecttoTown.VerificationoftherequiredinsuranceshallbesubmilledandmadepartofthisAgreementpriortoexecution.ConsultantshallmaintainallrequiredinsurancelistedhereinforthedurationofthisAgreement.4.1Workers’Compensation.Consultantshall,atitssolecostandexpense,maintainStatutoryWorkers’CompensationInsuranceandEmployer’sLiabilityInsuranceforanyandallpersonsemployeddirectlyorindirectlybyConsultant.TheStatutoryWorkers’CompensationInsuranceandEmployer’sLiabilityInsuranceshallbeprovidedwithlimitsofnotlessthan$1,000,000peraccident.Inthealternative,Consultantmayrelyonaself-insuranceprogramtomeetthoserequirements,butonlyiftheprogramofself-insurancecompliesfullywiththeprovisionsoftheCaliforniaLaborCode.Determinationofwhetheraself-insuranceprogrammeetsthestandardsoftheLaborCodeshallbesolelyinthediscretionoftheContractAdministrator.Theinsurer,ifinsuranceisprovided,ortheConsultant,ifaprogramofself-insuranceisprovided,shallwaiveallrightsofsubrogationagainsttheTownanditsofficers,officials,employees,andvolunteersforlossarisingfromworkperformedunderthisAgreement.4.2CommercialGeneralandAutomobileLiabilityInsurance.4.2.1Generalrequirements.Consultant,atitsowncostandexpense,shallmaintaincommercialgeneralandautomobileliabilityinsuranceforthetermofthisAgreementinanamountnotlessthan$1,000,000peroccurrence,combinedsinglelimitcoverageforrisksassociatedwiththeworkcontemplatedbythisAgreement.IfaCommercialGeneralLiabilityInsuranceoranAutomobileLiabilityformorotherformwithageneralaggregatelimitisused,eitherthegeneralaggregatelimitshallapplyseparatelytotheworktobeperformedunderthisAgreementorthegeneralaggregatelimitshallbeatleasttwicetherequiredoccurrencelimit.Suchcoverageshallincludebutshallnotbelimitedto,protectionagainstclaimsarisingfrombodilyandpersonalinjury,includingdeathresultingtherefrom,anddamagetopropertyresultingfromactivitiescontemplatedunderthisAgreement,includingtheuseofownedandnon-ownedautomobiles.4.2.2Minimumscopeofcoverage.CommercialgeneralcoverageshallbeatleastasbroadasInsuranceServicesOfficeCommercialGeneralLiabilityoccurrenceformCG0001(mostrecentedition)coveringcomprehensiveGeneralLiabilityonan“occurrence”basis.AutomobilecoverageshallbeatleastasbroadasInsuranceServicesOfficeAutomobileLiabilityformCA0001(mostrecentedition),Code1(anyauto).Noendorsementshallbeattachedlimitingthecoverage.4.2.3Additionalrequirements.Eachofthefollowingshallbeincludedintheinsurancecoverageoraddedasacertifiedendorsementtothepolicy:a.TheInsuranceshallcoveronanoccurrenceoranoccurrencebasis,andnotonaclaims-madebasis.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage4of14
b.Town,itsofficers,officials,employees,andvolunteersaretobecoveredasinsuredsasrespects:liabilityarisingoutofworkoroperationsperformedbyoronbehalfoftheConsultant;orautomobilesowned,leased,hired,orborrowedbytheConsultantc.ForanyclaimsrelatedtothisAgreementortheworkhereunder,theConsultant’sinsurancecoveredshallbeprimaryinsuranceasrespectstheTown,itsofficers,officials,employees,andvolunteers.Anyinsuranceorself-insurancemaintainedbytheTown,itsofficers,officials,employees,orvolunteersshallbeexcessoftheConsultant’sinsuranceandshallnotcontributewithit,d.Eachinsurancepolicyrequiredbythisclauseshallbeendorsedtostatethatcoverageshallnotbecanceledbyeitherparty,exceptafter30days’phorwhttennoticehasbeenprovidedtotheTowm4.3ProfessionalLiabilityInsurance.4.3.1Generalrequirements.Consultant,atitsowncostandexpense,shallmaintainfortheperiodcoveredbythisAgreementprofessionalliabilityinsuranceforlicensedprofessionalsperformingworkpursuanttothisAgreementinanamountnotlessthan$1,000,000coveringthelicensedprofessionals’errorsandomissions.Anydeductibleorself-insuredretentionshallnotexceed$150,000perclaim.4.3.2Claims-madelimitations.Thefollowingprovisionsshallapplyiftheprofessionalliabilitycoverageiswriffenonaclaims-madeform:a.TheretroactivedateofthepolicymustbeshownandmustbebeforethedateoftheAgreement.b.InsurancemustbemaintainedandevidenceofinsurancemustbeprovidedforatleastfiveyearsaftercompletionoftheAgreementorthework,solongascommerciallyavailableatreasonablerates.c.Ifcoverageiscanceledornotrenewedanditisnotreplacedwithanotherclaims-madepolicyformwitharetroactivedatethatprecedesthedateofthisAgreement,ConsultantmustpurchaseanextendedperiodcoverageforaminimumoffiveyearsaftercompletionofworkunderthisAgreement.d.AcopyoftheclaimreportingrequirementsmustbesubmittedtotheTownforreviewpriortothecommencementofanyworkunderthisAgreement.4.4AllPoliciesRequirements.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage5of14
4.4.1Acceptabilityofinsurers.AllinsurancerequiredbythissectionistobeplacedwithinsurerswithaBestsratingofnolessthanA:Vll.4.4.2Verificationofcoverage.PriortobeginninganyworkunderthisAgreement,ConsultantshallfurnishTownwithcompletecopiesofallpoliciesdeliveredtoConsultantbytheinsurer,includingcompletecopiesofallendorsementsattachedtothosepolicies.Allcopiesofpoliciesandendorsementsshallshowthesignatureofapersonauthorizedbythatinsurertobindcoverageonitsbehalf.IftheTowndoesnotreceivetherequiredinsurancedocumentspriortotheConsultantbeginningwork,itshallnotwaivetheConsultant’sobligationtoprovidethem.TheTownreservestherighttorequirecompletecopiesofallrequiredinsurancepoliciesatanytime.4.4.3DeductiblesandSelf-InsuredRetentions.ConsultantshalldisclosetoandobtainthewrittenapprovalofTownfortheself-insuredretentionsanddeductiblesbeforebeginninganyoftheservicesorworkcalledforbyanytermofthisAgreement.AttheoptionoftheTown,either:theinsurershallreduceoreliminatesuchdeductiblesorself-insuredretentionsasrespectstheTown,itsofficers,employees,andvolunteers;ortheConsultantshallprovideafinancialguaranteesatisfactorytotheTownguaranteeingpaymentoflossesandrelatedinvestigations,claimadministrationanddefenseexpenses.4.4.4WastingPolicies.NopolicyrequiredbythisSection4shallincludea“wasting”policylimit(i.e.limitthatiserodedbythecostofdefense).(4.5WaiverofSubrogation.Consultantherebyagreestowaivesubrogationwhichanyinsurerorcontractormayrequirefromvendorbyvirtueofthepaymentofanyloss.Consultantagreestoobtainanyendorsementsthatmaybenecessarytoaffectthiswaiverofsubrogation.TheWorkers’Compensationpolicyshallbeendorsedwithawaiverofsubrogationinfavoroftheentityforallworkperformedbytheconsultant,itsemployees,agents,andsubcontractors.4.4.6Subcontractors.Consultantshallincludeallsubcontractorsasinsuredsunderitspoliciesorshallfurnishseparatecertificatesandendorsementsforeachsubcontractor.Allcoveragesforsubcontractorsshallbesubjecttoalloftherequirementsstatedherein.4.5Remedies.InadditiontoanyotherremediesTownmayhaveifConsultantfailstoprovideormaintainanyinsurancepoliciesorpolicyendorsementstotheextentandwithinthetimehereinrequired,Townmay,atitssoleoptionexerciseanyofthefollowingremedies,whicharealternativestootherremediesTownmayhaveandarenottheexclusiveremedyforConsultant’sbreach:ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage6of14
•ObtainsuchinsuranceanddeductandretaintheamountofthepremiumsforsuchinsurancefromanysumsdueundertheAgreement;•OrderConsultanttostopworkunderthisAgreementorwithholdanypaymentthatbecomesduetoConsultanthereunder,orbothstopworkandwithholdanypayment,untilConsultantdemonstratescompliancewiththerequirementshereof;and/or•TerminatethisAgreement.Section5.INDEMNIFICATIONANDCONSULTANT’SRESPONSIBILITIES.Consultantshallindemnify,defendwithcounselacceptabletoTown,andholdharmlessTownanditsofficers,officials,employees,agentsandvolunteersfromandagainstanyandallliability,loss,damage,claims,expenses,andcosts(includingwithoutlimitation,attorney’sfeesandcostsandfeesoflitigation)(collectively,Liability”)ofeverynaturearisingoutoforinconnectionwithConsultant’sperformanceoftheServicesoritsfailuretocomplywithanyofitsobligationscontainedinthisAgreement,exceptsuchLiabilitycausedbythesolenegligenceorwillfulmisconductofTown.TheConsultant’sobligationtodefendandindemnifyshallnotbeexcusedbecauseoftheConsultant’sinabilitytoevaluateLiabilityorbecausetheConsultantevaluatesLiabilityanddeterminesthattheConsultantisnotliabletotheclaimant.TheConsultantmustrespondwithin30days,tothetenderofanyclaimfordefenseandindemnitybytheTown,unlessthistimehasbeenextendedbytheTown.IftheConsultantfailstoacceptorrejectatenderofdefenseandindemnitywithin30days,inadditiontoanyotherremedyauthorizedbylaw,somuchofthemoneyduetheConsultantunderandbyvirtueofthisAgreementasshallreasonablybeconsiderednecessarybytheTown,mayberetainedbytheTownuntildispositionhasbeenmadeoftheclaimorsuitfordamages,oruntiltheConsultantacceptsorrejectsthetenderofdefense,whicheveroccursfirst.WithrespecttothirdpartyclaimsagainsttheConsultant,theConsultantwaivesanyandallrightsofanytypetoexpressorimpliedindemnityagainsttheIndemnitees.Notwithstandingtheforgoing,totheextentthisAgreementisa‘constructioncontract”asdefinedbyCaliforniaCivilCodeSection2782,asmaybeamendedfromtimetotime,suchdutiesofconsultanttoindemnifyshallnotapplywhentodosowouldbeprohibitedbyCaliforniaCivilCodeSection2782.IntheeventthatConsultantoranyemployee,agent,orsubcontractorofConsultantprovidingservicesunderthisAgreementisdeterminedbyacourtofcompetentjurisdictionortheCaliforniaPublicEmployeesRetirementSystem(PERS)tobeeligibleforenrollmentinPERSasanemployeeofTown,Consultantshallindemnify,defend,andholdharmlessTownforthepaymentofanyemployeeand/oremployercontributionsforPERSbenefitsonbehalfofConsultantoritsemployees,agents,orsubcontractors,aswellasforthepaymentofanypenaltiesandinterestonsuchcontributions,whichwouldotherwisebetheresponsibilityofTown.Section6.STATUSOFCONSULTANT.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage7of14
6.1IndependentContractor.AtalltimesduringthetermofthisAgreement,ConsultantshallbeanindependentcontractorandshallnotbeanemployeeofTown.TownshallhavetherighttocontrolConsultantonlyinsofarastheresultsofConsultant’sservicesrenderedpursuanttothisAgreementandassignmentofpersonnelpursuanttoSubparagraph1.3:however,otherwiseTownshallnothavetherighttocontrolthemeansbywhichConsultantaccomplishesservicesrenderedpursuanttothisAgreement.NotwithstandinganyotherTown,state,orfederalpolicy,rule,regulation,law,orordinancetothecontrary,Consultantandanyofitsemployees,agents,andsubcontractorsprovidingservicesunderthisAgreementshallnotqualifyfororbecomeentitledto,andherebyagreetowaiveanyandallclaimstotanycompensation,benefit,oranyincidentofemploymentbyTown,includingbutnotlimitedtoeligibilitytoenrollintheCaliforniaPublicEmployeesRetirementSystem(PERS)asanemployeeofTownandentitlementtoanycontributiontobepaidbyTownforemployercontributionsand/oremployeecontributionsforPERSbenefits.6.2ConsultantNotanAgent.ExceptasTownmayspecifyinwriting,Consultantshallhavenoauthority,expressorimplied,toactonbehalfofTowninanycapacitywhatsoeverasanagent.Consultantshallhavenoauthority,expressorimplied,pursuanttothisAgreementtobindTowntoanyobligationwhatsoever.Section7.LEGALREQUIREMENTS.7.1GoverningLaw.ThelawsoftheStateofCaliforniashallgovernthisAgreement.7.2CompliancewithApplicableLaws.Consultantandanysubcontractorsshallcomplywithalllawsapplicabletotheperformanceoftheworkhereunder.7.3OtherGovernmentalRegulations.TotheextentthatthisAgreementmaybefundedbyfiscalassistancefromanothergovernmentalentity,ConsultantandanysubcontractorsshallcomplywithallapplicablerulesandregulationstowhichTownisboundbythetermsofsuchfiscalassistanceprogram.7.4LicensesandPermits.ConsultantrepresentsandwarrantstoTownthatConsultantanditsemployees,agents,andanysubcontractorshavealllicenses,permits,qualifications,andapprovalsofwhatsoevernaturethatarelegallyrequiredtopracticetheirrespectiveprofessions.ConsultantrepresentsandwarrantstoTownthatConsultantanditsemployees,agents,anysubcontractorsshall,attheirsolecostandexpense,keepineffectatalltimesduringthetermofthisAgreementanylicenses,permits,andapprovalsthatarelegallyrequiredtopracticetheirrespectiveprofessions.Inadditiontotheforegoing,ConsultantandanysubcontractorsshallobtainandmaintainduringthetermofthisAgreementvalidBusinessLicensesfromTown.7.5NondiscriminationandEqualOpportunity.Consultantshallnotdiscriminate,onthebasisofaperson’srace,religion,color,nationalorigin,age,physicalormentalhandicapordisability,medicalcondition,maritalstatus,sex,orsexualorientation,againstanyemployee,applicantforemployment,subcontractor,bidderforasubcontract,orparticipantConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage8of14
in,recipientof,orapplicantforanyservicesorprogramsprovidedbyConsultantunderthisAgreement.Consultantshallcomplywithallapplicablefederal,state,andlocallaws,policies,rules,andrequirementsrelatedtoequalopportunityandnondiscilminationinemployment,contracting,andtheprovisionofanyservicesthatarethesubjectofthisAgreement,includingbutnotlimitedtothesatisfactionofanypositiveobligationsrequiredofConsultantthereby.ConsultantshallincludetheprovisionsofthisSubsectioninanysubcontractapprovedbytheContractAdministratororthisAgreement.Section8.TERMINATIONANDMODIFICATION.8.1Termination.TownmaycancelthisAgreementatanytimeandwithoutcauseuponwrittennotificationtoConsultant.ConsultantmaycancelthisAgreementupon30days’writtennoticetoTownandshallincludeinsuchnoticethereasonsforcancellation.Intheeventoftermination,Consultantshallbeentitledtocompensationforservicesperformedtotheeffectivedateoftermination;Town,however,mayconditionpaymentofsuchcorripensationuponConsultantdeliveringtoTownanyoralldocuments,photographs,computersoftware,videoandaudiotapes,andothermaterialsprovidedtoConsultantorpreparedbyorforConsultantortheTowninconnectionwiththisAgreement.8.2Extension.Townmay,initssoleandexclusivediscretion,extendtheenddateofthisAgreementbeyondthatprovidedforinSubsection1.1.AnysuchextensionshallrequireawrittenamendmenttothisAgreement,asprovidedforherein.Consultantunderstandsandagreesthat,ifTowngrantssuchanextension,TownshallhavenoobligationtoprovideConsultantwithcompensationbeyondthemaximumamountprovidedforinthisAgreement.Similarly,unlessauthorizedbytheContractAdministrator,TownshallhavenoobligationtoreimburseConsultantforanyotherwisereimbursableexpensesincurredduringtheextensionperiod.8.3Amendments.ThepartiesmayamendthisAgreementonlybyawritingsignedbyalltheparties.8.4AssignmentandSubcontracting.TownandConsultantrecognizeandagreethatthisAgreementcontemplatespersonalperformancebyConsultantandisbaseduponadeterminationofConsultant’suniquepersonalcompetence,experience,andspecializedpersonalknowledge.Moreover,asubstantialinducementtoTownforenteringintothisAgreementwasandistheprofessionalreputationandcompetenceofConsultant.ConsultantmaynotassignthisAgreementoranyinterestthereinwithoutthepriorwrittenapprovaloftheContractAdministrator.Consultantshallnotsubcontractanyportionoftheperformancecontemplatedandprovidedforherein,otherthantothesubcontractorsnotedintheproposal,withoutpriorwrittenapprovaloftheContractAdministrator.ConsultingServicesAgreementbetweenOctober20,2022TownofLosAltosHillsandZeroPage9of14
