NOW, THEREFORE, the City Council of the Town does RESOLVE as follows: 1. Public interest and convenience require the Town of Los Altos Hills to enter into the Agreement described above. 2. RECITALS A. Owner is the owner in fee simple of a certain parcel of real property • (known as the "Property"), comprised of approximately 10.9 acres in the Town of Los Altos Hills, (APN 182-31-065),more particularly described in Exhibit A attached hereto. The Property is one of several that combine to form a continuous band of naturally wooded hills stretching from the Stanford foothills to Highway 280. It provides views of the native hills from a variety of external viewpoints, is richly populated with many native species of trees and plants, is a habitat for indigenous wildlife, and provides wildlife corridors("Conservation Values"). The property also contains certain permanent structures that are low-lying, non-obtrusive and are compatible with the rural, wooded open space character of the property. The structures including the main residence have potential historical and cultural significance in that they are more than 50 years old, and were designed by notable Bay Area architects. The relevant features of the Property are, or will be, documented in an inventory ("Baseline Documentation") on file with the Town. B. Town has adopted a General Plan and, pursuant thereto,may accept grants of conservation easements on privately owned lands lying within the Town. C. Town finds this conservation easement to be consistent with the Town's General Plan and in the best interests of the Town. Crozier Hogle Conservation Easement 1 • • D. Owner and Town desire to limit the use of the Property,by dedication of a conservation easement in order to ensure the preservation of the existing structures and to reduce potential adverse impacts on the Property including grading, vegetation removal, and erosion, recognizing that much of the Property is essentially unimproved and if retained in its natural state has substantial ecological and scenic value, and that the preservation of the Property with certain attendant structures as open space constitutes an important physical, cultural, historical, aesthetic and economic asset to the Town and to Owner. E. Owner intends to convey a conservation easement as defined in and governed by Cal. Civil Code Sections 815.1 through 815.10, inclusive, and 816 (hereinafter called the "California Conservation Easement Law") and all rights of the holder of a conservation easement under the California Conservation Easement Law to Town over the Property including the right to preserve and protect, in perpetuity, the natural, scenic open space and other Conservation Values of the Property, subject to the restrictions contained herein. F. Town is a"qualified organization" under Section 170(h)(3) of the Internal Revenue Code and is an entity authorized to acquire and hold a conservation easement pursuant to Cal. Civil Code 815.3. G. Town has adopted a General Plan and, pursuant thereto,may accept grants of conservation and open space easements on privately owned lands lying within the Town of Los Altos Hills. Town finds this conservation easement to be consistent with the adopted Town's General Plan and in the best interest of the Town. H. Town agrees by accepting this Conservation Easement to honor the intentions of Owner stated herein and to preserve and protect in perpetuity the Conservation Values of the Property for the benefit of this generation and the generations to come. AGREEMENT NOW THEREFORE, in consideration of the above and the mutual covenants, terms, and restrictions contained in this Conservation Easement and pursuant to the Internal Revenue Code and the laws of California, Owner hereby voluntarily, unconditionally and absolutely grants and conveys to Town this Conservation Easement over the Property for good and valuable consideration. Town hereby accepts the grant of this Conservation Easement and agrees to protect the conservation values of the Property in perpetuity. 1. Purpose. The purpose of this Conservation Easement is to assure that the Property will be retained in perpetuity predominantly in its current natural, scenic and open space condition and to prevent any use of the Property that will significantly impair Crozier Hogle Conservation Easement 2 •) • or interfere with the conservation values of theheProperty. Owner intendsthat this Conservation Easement will confine the use of the Property to such activities as are consistent with the purpose of this Conservation Easement. 2. Restriction on Use of Property. During the term of this Agreement and the conservation easement granted herein, the Property shall not be used for any purpose other than a conservation easement and those uses related to or compatible therewith. Owner, for the direct benefit of the Property described herein, hereby declares that the Property shall be subject to restrictive covenants running with the land which shall be binding upon all subsequent grantees. Said restrictive covenants shall be: a. Against the placement or construction of any residential or non-residential buildings, structures, or other improvements of any kind including, without limitation, fences, roads, driveways and parking areas except as set forth in Section 3; and b. against the extraction of natural resources or other activities which may destroy the unique physical and scenic characteristics of the land; and c. against the grading of land for reasons other than attendant to permitted uses; and d. against the cutting of vegetation, except as may be required for fire prevention, thinning, elimination of diseased growth, and similar measures; and e. against any plantings other than native vegetation except as set forth in Section 3(d); and f. against the demolition,removal or relocation of the main house; and g. against the keeping of livestock,except for two horses; and h. against any commercial operation; and i. against the subdivision of the land. Neither owning the Property as individual interests, many members of the Owner's family or others,nor the creation of a life or future estate, among ownership of all or part by any partnership,trust or other entity, is or shall become a subdivision under the terms of this Conservation Easement. 3. Reserved Rights and Exceptions. In accordance with Section 815.4 of the Cal. Civil Code, all real property rights of owner in the Property which are not transferred and conveyed hereby, or which are not expressly granted to Town or prohibited herein, are reserved to the Owner. The Town Council of the Town may authorize exceptions to the foregoing restrictive covenants, provided such exceptions are consistent with the Crozier Hogle Conservation Easement 3 • •' purposes of law and not incompatible with maintaining and preservingthe natural P character of the land and rural residential agricultural setting. Notwithstanding anything in this Agreement to the contrary, this Section 3 shall not prohibit the following: a. The maintenance of, alteration of,or addition to the main house, in its present location as shown on EXHIBIT B,provided that any proposed alteration or addition shall be compatible with the architectural character of the existing main house and shall not exceed the present structure height of the house other than to comply with any building code requirements as determined by the Town Building Official. The cumulative floor area for all additions to the main house shall not exceed 1,500 square feet. Any proposed alteration or addition to the main house other than ordinary maintenance shall be subject to review and approval by the Planning Commission and Town Council. The Town may retain the services of a consulting historical architect to assist in the review of any proposed alteration or addition with the cost of such services to be borne by the applicant. b. The repair,rebuilding or reconstruction of the main house in the event that the structure is damaged or destroyed by natural disaster, including earthquake and fire, provided that any proposed reconstruction shall not alter the original structure's character or function,increase its present height other than to comply with any building code requirements as determined by the Town Building Official, or increase the floor area of the main house by more than 1,500 square feet. Any proposed reconstruction shall be subject to review and approval by the Planning Commission and Town Council. The Town may retain the services of a consulting historical architect to assist in the review of any proposed reconstruction with the cost of such services to be borne by the applicant. c. The maintenance,renovation,removal,or replacement of the pool house, pool deck, pool, or existing accessory structures (including barns, stables, and sheds)in their present location as shown on EXHIBIT B,provided that any proposed modification or replacement shall not alter its function, increase its present height, or change the land surface area it occupies. Any proposed modification or replacement shall be subject to review and approval by the Planning Commission and Town Council. d. Ornamental plantings within the present gardening areas surrounding the primary residence and within a 160-foot radius of the main residence. e. Minimal removal of vegetation to create additional permeable walking paths including footbridges consistent with Town off-road pathway standards. f. Development of accessory structures in the rectangular portion of property presently occupied by the existing 60'x100' tennis court, as shown on the attached EXHIBIT B. Any structures proposed in this area shall be 1 limited to a single-story in height(17 feet maximum overall height measured from highest ridge to lowest pad elevation),and must be Crozier Hogle Conservation Easement 4 • consistent in character with the existing buildings as well as the rural, wooded character of the property overall. g. Maintenance of existing roads and fencing. The maintenance of existing fencing shall allow for the free passage of wildlife. This provision shall not prohibit the installation of a fence and gate around the perimeter of the pool and deck. Roads shall only be surfaced with permeable materials, must be in keeping with the open space character of the property,and shall be subject to review and approval by the Planning Commission and Town Council. h. The use of the Property for recreation which requires no additional surface alteration or land development. i. Degradation of Scenic and Natural Character. There shall be no use or activity such as clearing, mining, grading or storage of materials that degrades or is likely to degrade the scenic and natural character or Conservation Values of the Property. j. Watercourses,Wetlands,Ponds, Creeks, Streams. There shall be no use or activity that, in any way, alters or impacts any pond,wetland, or existing watercourse, creek,or streambed located on the Property. k. Water and Mineral Rights. There shall be no sale or transfer of any water or mineral rights appurtenant to the Property. 1. Owner may selectively remove early successional tree species using woodland management practices to promote climax vegetation or to improve wildlife habitat. m. Off-Road Vehicles. There shall be no use of off-road vehicles and use of any other motorized vehicles except on existing roadways. n. Agricultural Activity. There shall be no agricultural activity of any kind, including,without limitation,vineyards. 4. Rights of Town. To accomplish the purpose of this Agreement, the following rights are conveyed to the Town: a. To preserve and protect the conservation values of the Property. b. To enter upon the Property at reasonable times in order to monitor compliance with and otherwise enforce the terms of this Agreement in accordance with section 6; provided that, except in cases where the Town determines that immediate entry is required to prevent,terminate,or mitigate a violation of this Agreement, such entry shall be upon prior reasonable notice to Owner, and the Town shall not in any case unreasonably interfere with Owner's use and quiet enjoyment of the Property. c. To prevent any activity on or use of the Property that is inconsistent with the purpose of this Easement and to require the restoration of such areas or Crozier Hogle Conservation Easement 5 III) • features of the Property that may be damaged by any inconsistent activity or use,P ursuant to the remedies set forth in section 6. d. All mineral air and water rights necessary to protect and to sustain the biological resources of the Property. e. With the exception of the rights described in Section 3 of this Conservation Easement, all present and future development rights associated with the Property including any increase in allowable development rights resulting from any cause, including,but not limited to, future changes in policies, laws, or regulations. 5. Restrictions on Public Use. The public shall not have a right of entry upon the Property. 6. Remedies. a. Notice of Violation; Corrective Action. If the Town determines that a violation of the terms of this Agreement has occurred or is threatened,the Town shall give written notice to Owner of such violation and demand corrective action sufficient to cure the violation and,where the violation involves injury to the Property resulting from any use or activity inconsistent with the purpose of this Agreement,to restore the portion of the Property so injured to its prior condition in accordance with a plan approved by the Town. b. Injunctive Relief. If Owner fails to cure the violation within thirty(30) days after receipt of notice thereof from the Town, or under circumstances where the violation cannot reasonably be cured within a thirty(30)day period, fail to begin curing such violation within the thirty(30) day period, or fail to continue diligently to cure such violation until finally cured,the Town may bring an action at law or in equity in a court of competent jurisdiction to enforce the terms of this Agreement,to enjoin the violation, ex parte as necessary,by temporary or permanent injunction, and to require the restoration of the Property to the condition that existed prior to any such injury. c. Damages. The Town shall be entitled to recover damages for violation of the terms of this Agreement or injury to any Conservation Values protected by this Agreement, including,without limitation, damages for the loss of scenic, aesthetic, or environmental values where Town is the prevailing party. Without limiting Owner's liability therefore,the Town, in its sole discretion, may apply any damages recovered to the cost of undertaking any corrective action on the Property. d. Emergency Enforcement. If the Town,in its sole discretion, determines that circumstances require immediate action to prevent or mitigate significant damage to the Conservation Values of the Property,the Town may pursue its remedies under this section without prior notice to Owner or without waiting for the period provided for cure to expire. Crozier Hogle Conservation Easement 6 e. Scope of Relief. The Town's rights under this section apply equally in the event of either actual or threatened violations of the terms of this Agreement. Owner agrees that the Town's remedies at law for any violation of the terms of this Agreement are inadequate and that the Town shall be entitled to the injunctive relief described in paragraph 6.b,both prohibitive and mandatory, in addition to such other relief to which Town may be entitled, including specific performance of the terms of this Agreement,without the necessity of proving either actual damages or the inadequacy of otherwise available legal remedies. Town's remedies described in this section shall be cumulative and shall be in addition to all remedies now or hereafter existing at law or in equity. f. Costs of Enforcement. All reasonable costs incurred by the Town in enforcing the terms of this Agreement against Owner, including, without limitation, costs and expenses of suit and reasonable attorneys' fees, and any costs of restoration necessitated by Owner's violation of the terms of this Agreement shall be borne by Owner;provided,however,that if Owner ultimately prevails in a judicial enforcement action each party shall bear its own costs. g. Forbearance. Forbearance by Town to exercise its rights under this Agreement in the event of any breach of any term of this Agreement by Owner shall not be deemed or construed to be a waiver by the Town of such term or of any subsequent breach of the same or any other term of this Agreement or of any of Town's rights under this Agreement. No delay or omission by the Town in the exercise of any right or remedy upon any breach by Owner shall impair such right or remedy or be construed as a waiver. h. Waiver of Certain Defenses. Owner hereby waives any defense of laches estoppel, or prescription. i. Acts Beyond Owner's Control.Nothing contained in this Agreement shall be construed to entitle the Town to bring any action against Owner for any injury to or change in the Property resulting from causes beyond Owner's control, including,without limitation,fire, flood, storm,and earth movement, or from any prudent action taken by Owner under emergency conditions to prevent, abate, or mitigate significant injury to the Property resulting from such causes. 7. Town's Duties. Town shall undertake all reasonable efforts to enforce both the rights granted to it and the restrictions imposed upon the Property under this Conservation Easement in order to protect the Conservation Values of the Property in perpetuity. If at any time Town is unable to enforce this Conservation Easement in full or fails to do so, then its rights and responsibilities under this Conservation Easement shall become vested in and fall upon another qualified organization in accordance with a cy pres proceeding in any court of competent jurisdiction. Crozier Hogle Conservation Easement 7 •) • 8. Owner's Costs and Responsibilities. Owner retain all responsibilities and shall bear all costs and liabilities of any kind related to the ownership, operation, upkeep and maintenance of the Property, the monitoring of hazardous conditions thereon, or the protection of Owner, the public or any third parties from risks relating to conditions on the Property. Owner remains solely responsible for obtaining any applicable governmental permits and approvals for any activity or use permitted by this Conservation Easement, and any activity or use shall be undertaken in accordance with all applicable federal, state, local and administrative agency statutes, ordinances, rules, regulations orders and requirements. 8.1 . Taxes; No Liens. Owner shall pay or cause to be paid before delinquency all taxes, assessments, fees, and charges of whatever description levied on or assessed against the Property by competent authority(collectively"taxes"), including any such taxes imposed upon, or incurred as a result of, this Conservation Easement, and shall furnish Town with satisfactory evidence of payment upon request. Owner shall keep the Property free of any liens arising out of any work performed for, materials furnished to, or obligations incurred by Owner. 8.2 Indemnification. Owner, her successors and assigns, shall be responsible for, indemnify and save harmless the Town, its officers, agents, and employees from any and all liabilities, claims, demands, damages, or costs resulting from, growing out of, or in any way connected with or incident to Property, except for active negligence of the Town, its officers, agents, or employees. The duty of Owner to indemnify and save harmless includes the duty to defend as set forth in Cal. Civil Code Section 2778. Owner waives any and all rights to any type of express or implied indemnity or right of contribution from the Town, its officers,agents, or employees,from any liability resulting from, growing out of, or in any way connected with or incident to this Conservation Easement,except for active negligence of Town. 9. Term of Agreement. This Conservation Easement and Agreement shall be effective on the date of recordation of this Agreement and shall remain in effect in perpetuity, unless abandoned pursuant to Government Code Sections 51093 and 51094, or any successor legislation. 10. Assignment by Town. This Conservation Easement is transferable by Town provided that Town assigns its rights and obligations under this Conservation Easement only to an entity or organization authorized to acquire and hold conservation easements pursuant to Cal. Civil Code Section 815.3. Town shall require the assignee to record the assignment in the County of Santa Clara. 11. Subsequent Transfer by Owner. This Conservation Easement and all of the covenants, indemnifications, releases, easements and restrictions set forth in this Conservation Easement shall run with the land and be binding upon Owner and Owner's heirs, successors and assigns. Owner agrees to explicitly incorporate the terms of this Conservation Easement in any deed or other legal instrument by which Owner divests herself of any interest in all or any portion of the Property, including, without limitation, Crozier Hogle Conservation Easement 8 11111 a leasehold interest. Owner further agrees to notify Town in writing of any sale, transfer, lease or other disposition of the Property or any part thereof,whether by operation of law or otherwise, at least 30 days after such disposition. Such notice shall include a copy of the deed, lease or other declaration of transfer, the date of transfer, and the names and addresses for notices of the transferee. The failure of Owner to perform any act provided in this section shall not impair the validity of this Conservation Easement or limit its enforceabilityin any way. 12. Subordination. All mortgages, deeds of trust and other liens or encumbrances upon all or any part of the Property which either come into existence or are recorded in the place for the recording of such liens or encumbrances after the date of this Conservation Easement will be subject to and subordinate to this Conservation Easement. 13. Unconditional Donation. Town makes no warranty, representation or other assurance regarding the availability, amount or effect of any deduction, credit or other benefit to Owner under United States or any state, local or other tax law to be derived from the donation of this Conservation Easement. This donation is not conditioned upon the availability or amount of any such deduction, credit or other benefit. 14. Fair Market Value. This Conservation Easement gives rise to a real property right and interest immediately vested in Town. For purposes of this Conservation Easement, the fair market value of Town's right and interest shall be equal to the difference between (a) the fair market value of the Property as if not burdened by this Conservation Easement and(b)the fair market value of the Property burdened by this Conservation Easement. 15. Amendment. If circumstances arise under which an amendment to or modification of this Conservation Easement would be appropriate,Owner and Town may jointly amend this Conservation Easement; provided that no amendment shall be allowed that will affect the qualification of this Conservation Easement or the status of Town under any applicable laws, including Sections 815 et. seq. of the Cal. Civil Code, or Section 170(h) of the Internal Revenue Code, as amended, and any amendment shall be consistent with thepurposes of this Conservation Easement. Anysuch amendment shall be in writing, shall refer to this Conservation Easement by reference to its recordation data,and shall be recorded in the Official Records of Santa Clara County, California. 16. Termination Ifit c cumstances arise in the future which render the purposes of this Conservation Easement impossible to accomplish, this Conservation Easement can only be terminated or extinguished, whether in whole or in part, by judicial proceedings in a court of competent jurisdiction. After satisfaction of prior claims from any sale, exchange, involuntary conversion, or condemnation to a governmental body under the threat of condemnation of all or any portion of the Property, Town shall be entitled to the reasonable sum attributable to the taking of Town's interest in this Conservation Easement and the Owner shall be entitled to the remainder of such Crozier Hogle Conservation Easement 9 I") •� compensation and proceeds. Town shall use all suchP roceeds in a manner consistent with this Conservation Easement. 17. Estoppel Certificates. Upon request by Owner, Town shall within 21 days after receipt of such request execute and deliver to Owner any document, including an estoppel certificate, which certifies Owner's compliance with any obligation of Owner contained in this Conservation Easement and otherwise evidences the status of this Conservation Easement as may be reasonably requested by Owner. 18. Notices. Unless otherwise specified in this Conservation Easement, any notice, demand, request, consent, approval, or communication that either party desires or is required to give to the other shall be in writing and either served personally or sent by first class mail,postage prepaid, addressed as follows: To Owner: Lois Crozier Hogle 2000 Old Page Mill Road Palo Alto,CA 94304 To Town: Town of Los Altos Hills Attn:Mayor 26379 Fremont Road Los Altos Hills, CA 94022 or to such other address as either party from time to time shall designate by written notice to the other. Notice shall be deemed effective upon delivery in the case of personal delivery or delivery by overnight courier or, in the case of delivery by first class mail, five days after deposit into the United States mail. 19. Recordation. In accordance with Section 815.5 of the Cal. Civil Code,this instrument shall be recorded by Town in the Official Records of Santa Clara County, California. Town may re-record this Conservation Easement whenever rerecording is required to preserve Town's rights in this Conservation Easement. 20. General Provisions. 20.1 Controlling Law. This Conservation Easement shall be governed by and construed under the laws of the State of California. 20.2 Liberal Construction. Any general rule of construction to the contrary notwithstanding, this Conservation Easement shall be liberally construed in favor of Town to effect the purposes of this Conservation Easement and the policy and purpose of Section 815 et. seq. of the Cal. Civil Code. If any provision in this instrument is found to be ambiguous, an interpretation consistent with the purposes of this Conservation Easement that would render the provision valid shall be favored over any interpretation that would render it invalid. This instrument shall be construed in Crozier Hogle Conservation Easement 10 I) • accordance with its fair meaning and it shall not be construed against either party on the basis that that party prepared this instrument. 20.3 Severability. If any provision of this Conservation Easement, or the application thereof to any person or circumstance, is found to be invalid, the remainder of the provisions of this Conservation Easement, or the application of such provision to persons or circumstances other than those as to which it is found to be invalid, as the case may be, shall not be affected thereby so long as the purposes of this Conservation Easement can still be carried out. 20.4 Entire Agreement. This instrument sets forth the entire agreement of the parties with respect to the Conservation Easement and supersedes all prior discussions, negotiations, understandings, or agreements relating to the Conservation Easement,all of which are merged herein. 20.5 No Third Party Rights. This instrument is made and entered into for the sole benefit and protection of Owner and Town and their respective successors and assigns. No person or entity other than the parties hereto and their respective successors and assigns shall have any right of action under this Conservation Easement or any right to enforce the terms and provisions hereof. 20.6 No Forfeiture. Nothing contained herein is intended to result in a forfeiture or reversion of Owner's fee title in any respect. Owner specifically reserves the right to convey fee title to the Property, subject to this Conservation Easement. 20.7 Successors. The covenants, terms, conditions, and restrictions of this Conservation Easement shall be binding upon, and inure to the benefit of,the parties hereto and their respective successors and assigns, and shall continue as a servitude running in perpetuity with the Property. 20.8 Termination of Rights and Obligations. Except as expressly provided otherwise, a party's rights and obligations under this Conservation Easement shall terminate upon the transfer of the party's interest in this Conservation Easement or the fee title to the Property, as the case may be, except that rights, obligations, and liability relating to acts or omissions occurring prior to transfer shall survive transfer. 20.9 Captions. The captions in this instrument have been inserted solely for convenience of reference and are not a part of this instrument and shall have no effect upon construction or interpretation. 20.10 Counterparts. Owner may execute this instrument in two or more counterparts; each counterpart shall be deemed an original instrument. In the event of any disparity between the counterparts produced, the recorded counterpart shall be controlling. Crozier Hogle Conservation Easement 11 �I 20.11 Exhibits. All Exhibits referred to in this Conservation Easement are attached hereto and incorporated herein by this reference. 21. Representation. By signing this Conservation Easement, Owner acknowledges,warrants and represents to Town that: 21.1 Relinquishment. Owner has been represented by counsel of Owner's selection, and fully understands that Owner is hereby permanently relinquishing property rights which would otherwise permit the Owner to have a fuller use and enjoyment of the Property. • Crozier Hogle Conservation Easement 12 • 21.2 Title; Encumbrances. Owner has fee simple title of the Property and they have the right to grant and convey this Conservation Easement.
