HomeMy WebLinkAbout77-05 • • RESOLUTION NO. 7 7—05 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AN AGREEMENT WITH LIVE OAK ASSOCIATES FOR PREPARATION OF A WILDLIFE CORRIDOR MAP WHEREAS,the Town of Los Altos Hills in accordance with the General Plan Conservation Element seeks to conserve natural resources including a diverse wildlife population; WHEREAS, The Town of Los Altos Hills desires to retain the services of an experienced and qualified consultant to provide technical advice and a map of wildlife corridors showing connections between areas of significant wildlife habitat within the Town; WHEREAS,Live Oak Associates, ecological consultants has presented the Town of Los Altos Hills with a proposal to provide such services; WHEREAS, City staff and the Open Space Committee have determined that Live Oak Associates is qualified to perform such services. [) 224-1411 p. 2 AGREEMENT BY THIS AGREEMENT made and entered into on the 3rd day of August, 2005, by and between the TOWN OF LOS ALTOS HILLS (hereinafter referred to as TOWN) and: Live Oak Associates 6830 Via Del Oro, Suite 205 San Jose, CA 95119 (408)281-5885 (hereinafter referred to as CONTRACTOR). In consideration of their mutual covenants, the parties hereto agree as follows: 1. CONTRACTOR. Shall provide or furnish the following specified services and/or materials: Environmental services including Wildlife Corridor Map as outlined in Exhibit"A." 2. EXHIBITS. The following attached exhibits hereby are made a part of this Agreement: Exhibit"A": Scope of Planning Services and Budget from CONTRACTOR 3. TERMS. The services and/or materials furnished under this Agreement shall commence on August 4, 2005 and shall be completed within 90 days unless additional time is otherwise agreed to in writing by the Town and Contractor. 4. COMPENSATION. For the full performance of this Agreement: a. TOWN shall pay CONTRACTOR: Time and materials not to exceed $8,800.00 as further described in Exhibit"A". 5. GENERAL TERMS AND CONDITIONS. a. HOLD HARMLESS. CONTRACTOR agrees to indemnify, defend and hold harmless the TOWN, its officers, agents and employees from any and all demands, claims or liability of personal injury (including death) and property damage of any nature, caused by or arising out of the performance of CONTRACTOR under this Agreement. b. INSURANCE. CONTRACTOR shall file with the TOWN a certificate of insurance before commencing any services under this agreement meeting minimum coverage requirements established by TOWN's City Manager. c. NON-DISCRIMINATION. No discrimination shall be made in the employment of persons under this agreement because of the race, color, national origin, age, ancestry, religion or sex of such person. d. INTEREST OF CONTRACTOR. It is understood and agreed that this agreement is not a contract of employment in the sense that the relation of master and servant exists between the TOWN and undersigned. At all times CONTRACTOR shall be deemed to be an independent contractor and contractor is not authorized to bind the TOWN to any Jul 22 05 06: 48p Li. Oak Assoc. Inc. In executing this agreement, CONTRACTOR certifies that no one who has or will have any financial interest under this agreement is an officer or employee of TOWN. e. CHANGES. This agreement shall not be assigned or transferred without the written consent of the TOWN. No changes or variations of any kind are authorized without the written consent of the City Manager. f. TERMINATION. This agreement may be terminated by TOWN upon thirty (30) days written notice to CONTRACTOR. CONTRACTOR may terminate this agreement upon thirty (30) days written notice to TOWN. Monies then owing based upon work satisfactorily accomplished shall be paid to CONTRACTOR. 6. INVOICING. All invoices shall be mailed or delivered to the attention of the Planning Director(contract coordinator) at the address below. The level of effort proposed is intended to identify existing landscape linkages (i.e.,wildlife corridors)within the Town's sphere of influence, and recommend measures that will help maintain or even enhance the functionality of these linkages. The final product may be used to generate policy that could be adopted based on recommendations for maintaining habitat connectivity throughout Los.Altos Hills. We propose to prepare this corridor map for a Time and Materials, not-to-exceed cost of$8,800. Following are the proposed tasks: Background Review. The Town of Los Altos Hills is approximately 8.4 square miles, with an adjacent 5.8 square miles within its sphere of influence. Existingsources of nformatiorNbout J q P the study area and vicinity will be reviewed, summarized, and cited as appropriate, including the Town's General Plan, and specifically the Open Space Element. Other sources of information relevant to the project vicinity will also be reviewed. Examples of such informatiJn include aerial photographs of the Town, U.S.G.S. topographic maps,U.S. Fish and Wildlife Service National Wetland Inventory Maps,the California Natural Diversity Database, other technical literature related to the biotic resources of the project vicinity, regional planning documents, species data compiled by the California Native Plant Society,the National Audubon Society, or other public interest groups, etc. Field Surveys. Michele Korpos,proJect manager and wildlife ecologist, will conduct ground- truthing surveys of the existing corridor habitat and use this information to aid in the landscape analysis. LOA Spatial Analyst, Brett Dickson, Cartographer Tom Haney and Ms. Korpos will collect data(primarily GIS layers, vegetation habitat types and species information) to be incorporated into the final map. We have allowed time for a two-hour meeting at which town residents may volunteer information on observed wildlife movement in the region. If our presence is required at other meetings, our time will be charged using our standard billing rates. Landscape Analysis. Our team will assimilate the information gathered to analyze the movement patterns of plants and animals to determine potential landscape uses. This analysis will take into consideration movement along riparian areas, secondary roadways and earthen paths, and critical issues relating to the Town's potential connectivity to core habitat areas. The analysis will rate the importance of each potential corridor. The results of the analysis will be illustrated in map form. Recommendations. LOA will prepare a written report outlining the main points of the landscape analysis and offer recommendations on how best to preserve and potentially enhance these corridors. Recommendations will likely include information on setbacks from waterways, fencing, outdoor lighting, and recreational trail uses. We have allowed three hours for internal revisions based on anticipated input from Town staff. If we need more time to respond to such comments, our time will be charged using our standard billing rates.
