• • RESOLUTION NO. 94-03 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AGREEMENT FOR OPEN SPACE EASEMENT (Lands of Purissima Hills Water District) WHEREAS, the Purissima Hills Water District, a public agency ("Owner") is record owner of the property commonly known as the McCann Tank Site, located at 26451 Ascension Drive, Los •Altos Hills, California; and WHEREAS, the Town has adopted a General Plan and, pursuant thereto, may accept grants of open space easements on privately owned lands lying within the Town; WHEREAS, Owner has offered to enter into an agreement for open space easement attached to this Resolution as Attachment A ("Open Space Easement Agreement") to limit the use of a portion of the property in order to reduce potential adverse impacts on such land including grading, vegetation removal, and erosion; WHEREAS, the Town finds the Open Space Easement Agreement to be consistent with the Town's General Plan and in the best interests of the Town; WHEREAS, Owner and the Town recognize that the land subject to the Open Space Easement Agreement is essentially unimproved and if retained in its natural state has substantial scenic value to the public and that the preservation of such land as open space constitutes an important physical, social, aesthetic and economic asset to the Town and Owner; WHEREAS, the Open Space Easement Agreement contains the appropriate restrictions and covenants to preserve the natural and scenic character of the land; and NOW,THEREFORE,the City Council of the Town of Los Altos Hills does RESOLVE as follows: The Town hereby accepts on behalf of the public, and for the purposes therein described, approves the Open Space Easement Agreement attached to this Resolution as Attachment A; and the Mayor is hereby authorized and directed to execute the Open Space Easement Agreement. RECITALS A. Owner is the record owner of that certain real property in the Town of Los Altos Hills commonly known as the McCann Tank Site, located at the address of 26451 Ascension Drive,Los Altos Hills, California("Tank Site"). B. Town has adopted a General Plan and, pursuant thereto, may accept grants of open space easements on lands lying within the Town. C. Owner has proposed to allow AT&T to place a telecommunications antenna and related equipment on the Tank Site. D. Town desires to limit the use of a portion of the property more particularly described in Exhibit A attached hereto ("Property"), by dedication of an open space easement ("Easement") in order to minimize the adverse visual impact of the telecommunications antenna and related equipment and to reduce potential adverse impacts on the Property including grading, vegetation removal, and erosion, recognizing that the preservation of such land as open space constitutes an important physical, social, aesthetic and economic asset to the Town. Town finds the Easement to be consistent with the Town's General Plan and in the best interests of the Town. #657607v1 1065004.1 �i I} • NOW, THEREFORE, the parties, in consideration of the mutual covenants and conditions set forth herein and the substantial public benefits to be derived therefrom, do hereby agree as follows: 1. Grant of Open Space Easement. Owner, as grantor, hereby grants an open space easement to the Town of Los Altos Hills, a municipal corporation in the County of Santa Clara, State of California, over the real property described and shown as Exhibit A, to have and to hold said open space easement for the term and for the purposes described herein and subject to all existing conditions, covenants, encumbrances and exceptions that affect the Property as of the recording date of this document. Owner grants and the Town accepts this Easement in its "as is" condition, and Owner makes no representations or warranties regarding the condition of the Property. 2. Restriction on Use of Property. During the term of this Agreement and the open space easement granted herein, the Property shall not be used for any purpose other than an open space easement and those uses related to or compatible therewith. Owner, for the direct benefit of the Property described herein, hereby declares that the Property shall be subject to restrictive covenants running with the land that shall be binding upon all subsequent grantees. Said restrictive covenants shall be: a. against the right of Owner to construct any improvements on or within the Property except for public and private utilities and paths dedicated to the Town or an approved septic system, provided these reserved exceptions shall be consistent with the purposes of maintaining and preserving the natural or scenic character of the land; and b. against the extraction of natural resources or other activities which may destroy the unique physical and scenic characteristics of the land; and c. against the grading of land for reasons other than attendant to permitted uses; and d. against the cutting of vegetation, except as may be required for fire prevention,thinning, elimination of diseased growth, and similar measures; and e. against any plantings other than native vegetation; and f. against the erection of structures other than lawful fences or any improvements authorized by Paragraph 3 herein. 3. Exceptions. The Owner may use the Property for any Water District purpose specifically provided in California Water Code Sections 30000 et seq., provided that such uses do not require the permanent removal of the vegetation that screens the surrounding homes from the aesthetic impact of the telecommunications antenna and #657607v1 1065004.1 41 •1 related equipment. With Owner's written consent, the City Council of the Town may authorize exceptions to the foregoing restrictive covenants, provided such exceptions are consistent with the purposes of law and not incompatible with maintaining and preserving the natural character of the land. 4. Remedies Available to Town. Owner may not remove the landscaping that provides a screen from the negative aesthetic impact of the telecommunications antenna and related equipment ("Landscaping Screen"). If Owner removes the Landscaping Screen and a material portion of the Landscaping Screen no longer provides an appropriate screen, then the Town will transmit a written Notice of Violation to Owner describing the condition. Within 30 days of delivery of the Notice of Violation, Owner must: (a) Replace the Landscaping Screen to its condition prior to removal or to a condition satisfactory to the Town; or (b) Request AT&T to apply to the Town for an amendment to its conditional use permit proposing an alternative method of screening the antenna, or proposing an alternative antenna that will impose a lesser aesthetic impact. Any such permit amendment shall be subject to the review and approval of the Town, and such approval will not be unreasonably withheld. If Owner fails to replace the Landscaping Screen to the reasonable satisfaction of the Town or AT&T fails to obtain an amendment to its conditional use permit as described in(b) above within a reasonable period of time, then the Town may require that telecommunications antenna and related equipment be removed. If the Town requires that the telecommunications antenna and related equipment be removed, it will give Owner at least 90 days within which to comply. 5. Restrictions on Public Use. Nothing in this Easement will be deemed to grant the public a right of entry upon the Property without prior written authorization. Agents of the Town will have the right of entry and surface use only for the purpose of inspection of the condition of the Property. 6. Term of Agreement. This Easement and Agreement shall be effective on the date of recordation of this Agreement and shall remain in effect in perpetuity. 7. Successors in Interest. This Agreement and the Easement shall run with the land and shall be binding upon and inure to the benefit of the heirs, successors and assigns of the parties hereto. 8. No Forfeiture.
