* _ RESOLUTION NO. 40-96 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AND AUTHORIZING EXECUTION OF A CONSERVATION AND OPEN SPACE EASEMENT AND SANITARY SEWER EASEMENT AND ACCEPTING A DEDICATION OF RIGHT OF WAY WHEREAS, the City Council of the Town of Los Altos Hills ("Town") has read and considered those various documents relating to that certain real property located in the Town of Los Altos Hills and owned by David Woodley Packard and Susan Packard Orr as tenants in common ("Packards") ; NOW, THEREFORE, the City Council of the Town does RESOLVE as follows: 1. Public interest and convenience require the Town of Los Altos Hills to accept and approve the documents as described below: a. Conservation and Open Space Easement between the Town of Los Altos Hills and the Packards; b. Dedication of Right of Way from the Packards; and c. Grant of Sanitary Sewer Easement from the Packards to the Town of Los Altos Hills. 2 . The Town hereby approves and accepts the Conservation and Open Space Easement attached hereto. 3. The Town hereby approves and accepts the Dedication of Right of Way attached hereto. 4. The Town hereby approves and accepts the Grant of Sanitary Sewer Easement attached hereto. 5. Clerk CONSERVATION AND OPEN SPACE EASEMENT This Conservation and Open pace Easement ("Agreement") is made and entered into this 2 vL day of May, 1995, by and between David Woodley Packard and Susan Packard Orr as tenants in common (collectively, "Owners") and the Town of Los Altos Hills, a .municipal corporation ("Town") . _ RECITALS: A. Owners are the owner of certain real property located in the Town, which real property is more particularly described in Exhibit A attached hereto ("Property") . • B. Town has adopted a General Plan and, pursuant thereto, may accept grants of conservation and open space easements on privately owned lands lying within the Town; C. Town finds the conservation easement granted herein to be consistent with the Town's General Plan; D. Both Owners and Town desire tolimit the use of a portion of the. Property by dedication of the conservation and open space easement granted herein in order to reduce potential adverse impacts on the Property including grading, vegetation removal, and erosion, recognizing that the Property has. substantial public value as open space and that the preservation of a portion of the Property as open space constitutes an important physical, social, aesthetic and economic asset to the Town; NOW, THEREFORE, the parties, in consideration of the mutual covenants and conditions set forth herein and the substantial public benefits to be derived therefrom, do hereby agree as follows: • P394PAGEI464 • , • • , 1. Grant of Conservation and Open Space Easement. Owners, as grantor, hereby grant a conservation and open space easement to the Town on, over and across that portion of the Property as shown on Exhibit B hereto (the "Easement") , to have and to hold said Easement for the term and for the purposes and subject to the conditions, covenants and exceptions described herein. 2 . Statutory Authorization. This Agreement and the grant of the above Easement shall be made and entered into pursuant to Civil Code Sections 815 through 816 and Chapter 6.6 (commencing with Section 51070 of Part 1, Division 1, Title 5 of the Government Code. This Agreement is subject to all of the provisions of said sections and chapter including any amendments thereto which may hereafter be enacted. 3 . Restriction on Use of Easement. During the term of this Agreement, the Easement shall not be used for any purpose other than a conservation- and open space easement and those uses - related to or compatible therewith. Owners, for the direct benefit of the public and the Owners, hereby declare that the Easement shall be subject to the following restrictive covenants, which shall run with the land and shall be binding upon all . subsequent grantees: (a) No buildings, improvements or structures . (including fences) shall be constructed or erected on or within the Easement except as necessary in connection with any public and private utility easements and paths dedicated to the Town, provided these reserved exceptions shall be consistent with the purposes of law and shall not permit any action which will be incompatible with maintaining and preserving the natural or scenic character of the land; and (b) No natural resources shall be extracted from the Easement nor shall other activities be allowed or conducted on the Easement which may destroy the unique physical and scenic characteristic of the land; and (c) No grading of the Easement shall be allowed other than attendant to permitted uses; and (d) No vegetation on the Easement shall be cut or removed, except as may be required for fire prevention, thinning, elimination of diseased growth,• and similar measures. The City Council of the Town may authorize exceptions to the foregoing restrictive covenants,- provided such exceptions are consistent with the purposes oflaw and not incompatible with maintaining and preserving the natural character of the land. 4. Restrictions on Public Use. The public shall not have a right of entry upon the Easement. The right of entry and surface use is limited solely to the Town, but only for the - 2 - • P394PIGL11 (10 purpose of inspecting the landscaping, trees or natural growth upon the Easement. 5. Term of Agreement. This Agreement shall be effective on the date of recordation of this Agreement and shall remain in effect in perpetuity, unless abandoned pursuant to Government Code Sections 51093 and 51094, or any successor legislation. 6. Successors in Interest. This Agreement and the Easement shall run with the Property and shall be binding upon and inure to the benefit of the heirs, successors and assigns of the parties hereto. ARTICLE 3 MAINTENANCE The owner of Parcel 2 shall, at all times, keep the Access Easement in good condition and repair, at the sole cost and expense of the owner of Parcel 2. Notwithstanding the above, the owner of Parcel 1 shall reimburse the owner of Parcel 2 for any maintenance or repair caused by the negligent or willful acts of the owner of Parcel 1, its agents, contractors, employees, guests or invitees. ARTICLE 4 INSURANCE The owner of Parcel 2 shall maintain in force at all times a policy of comprehensive liability insurance in a reasonable amount covering the use of the Access Easement by the owner of Parcel 2, its agents, contractors, employees, guests and invitees. Such insurance shall name the owner of Parcel 1 as an additional insured and shall expressly cover the indemnification obligation of the owner of Parcel 2 contained in Article 5 below. At the request of the owner of Parcel 1, the owner of Parcel 2 shall provide the owner of Parcel 1 with a certificate of insurance evidencing such insurance. The owner of Parcel 2 shall not do or permit any act which would render such policy of insurance invalid. ARTICLE 5 INDEMNITY The owner of Parcel 2 shall indemnify the owner of Parcel 1 from and against any and all claims, causes of actions, demands, obligations or other liability arising out of the use of the Access Easement by the owner of Parcel 2, its agents, contractors, employees, guests and invitees except for any matter resulting from the negligent or willful acts of the owner of Parcel 1, its agents, contractors, employees, guests or invitees. - 2 - _ P394PAGE IWO ARTICLE 6 TERM The easements, covenants, and obligations set forth in this Declaration shall continue in full force and effect in perpetuity from the date of recordation hereof, unless this Declaration is amended by an agreement executed, acknowledged and recorded by the then owners of Parcel 1 and Parcel 2; provided, however, any termination or relocation of this easement shall require the written consent of the Town. Subject to the foregoing, each parcel shall hereafter be held, transferred, sold, leased, conveyed and occupied subject to the easements, covenants, and obligations- set forth herein which shall run with the land. ARTICLE 7 DEDICATION Nothing contained in this Declaration shall be deemed to be a gift or dedication of any portion of the Property to the general public or for any public purpose whatsoever. It is the intention of the parties that this Declaration shall be strictly limited to and for the purposes expressed herein, provided that nothing contained herein shall preclude any dedication in the future.
