HomeMy WebLinkAbout29-99 • • • RESOLUTION NO. 29'-99 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AND AUTHORIZING EXECUTION OF INTERIM CITY MANAGER AGREEMENT WHEREAS, the Town Council of the Town of Los Altos Hills has read and considered that certain Interim City Manager Agreement("Agreement"),between the Town and William Carver Norton ("Norton"). NOW, THEREFORE, the City Council of the Town does RESOLVE as follows: 1. Public interest and convenience require the Town of Los Altos Hills to enter into the Agreement described above. 2. The Town of Los Altos Hills hereby approves the Agreement and the Mayor is hereby authorized on behalf of the Town to execute the Agreement between the Town of Los Altos Hills and Norton. Mayor A ST: City Clerk N:\DATA\Clients\L\LAH\Res\NorW.rut • • INTERIM CITY MANAGER AGREEMENT This Interim City Manager Agreement ("Agreement") is made and entered into effective the 3rd day of June , 1999 by and between the Town of Los Altos Hills ("Town") and William Carver Norton ("Norton"). RECITALS 1.. The Town desires to enter into an agreement with Norton for Norton to serve as the Interim City Manager for the Town. 2. Norton desires to act as the Interim City Manager for the Town. NOW, THEREFORE, in consideration of their mutual covenants, the Town and Norton do hereby agree as follows: 1. Services to be Performed. Norton shall act as the Interim City Manger by performing the duties and responsibilities and exercising the authority of the City Manager, in accordance with the Town's Municipal Code,the terms,conditions and specifications set forth herein and as stated in the City Manager Job Description, attached hereto as Exhibit A. Norton shall work an average of forty (40) hours per week, excepting official Town holidays, and the Town acknowledges that the time of these hours may be flexible. 2. Term. The term of this Agreement shall commence on June 7, 1999, and shall run until this Agreement is terminated, as set forth below; provided that, in the event Norton's services are needed for greater than nine hundred and sixty (960) hours, Norton shall, with Council's direction, take an unpaid leave of absence and shall be reinstated at the beginning of the 2000 calendar year. Such reinstatement shall comply with all the provisions of this Agreement. 3. Compensation. In consideration for the services set out in Section 1 above the Town shall pay Norton Eight Thousand and Four Hundred Dollars ($8,400) per month ("Compensation"). The Compensation shall be prorated on a daily basis for the first and last months during which Norton serves as Interim City Manager. Other than the aforementioned Compensation, Norton shall receive no other compensation or benefits, including but not limited to CaIPERS and health insurance. 4. Use of Town Automobile. In addition to Compensation, Norton shall be allowed use of the Town Automobile for Town related business. Town related business shall not include transportation to and from work. 5. Non-assignability. Norton shall not assign this Agreement or any portion thereof to a third party without the prior written consent of Town, and any attempted 1 N:\DATA\Clients\L\LAHWdmin\NorW.agm • • assignment without such priorwritten consent in violation of this Section shall automatically terminate this Agreement. 6. Termination of Agreement. Either party may, upon two (2) weeks written notice,terminate this Agreement with or without cause,for the convenience of either party. Such notice shall include the effective date and scope of such termination. Norton shall be entitled to receive payment for the days worked prior to termination of the Agreement. 7. Documents. All documents provided to Norton by the Town and all reports and supporting data prepared by. Norton for the Town are the sole property of the Town and shall be delivered to the Town upon termination of this Agreement or at the Town's written request. All confidential reports, information, exhibits and data, including, but not limited to electronic data, prepared or assembled by Norton while he serves as Interim City Manager are confidential until released by the Town to the public, and Norton shall not make any of these unreleased documents or information available .to any individual or organization, other than the City Attorney, without the prior written consent of the Town Council. 8. Conflict of Interest. Norton warrants that he presently does not have and will not acquire any director indirect financial interest which would conflict with his performance of this Agreement. 9. Entire Agreement; Amendment. This Agreement, including Exhibit A attached hereto and incorporated herein by reference, constitutes the sole Agreement of the parties and correctly states the rights, duties, and obligations of each party as of the date of this Agreement. Any prior agreements, promises, negotiations, or representations between the parties not expressly stated in this Agreement are not binding. All subsequent modifications shall be in writing and signed by the Town. In the event of a conflict between the terms, conditions, or specifications set forth herein and those in Exhibit A attached hereto, the terms, conditions, or specifications set forth herein shall prevail. Any modification of this Agreement will be effective only if it is in writing and signed by both the Town and Norton. 10. Effect of Waiver. The failure of either party to insist on strict compliance with any of the terms, covenants, or conditions of this Agreement by the other party shall not be deemed a waiver of that term, covenant, or condition, and no waiver or relinquishment of any right or power on any given occasion shall be deemed a waiver or relinquishment of that right or power on any subsequent occasions. 11. Partial Invalidity. If any provision in this Agreement is held by a court of competent jurisdiction to be invalid, the remaining provisions shall continue in full force without being impaired or invalidated in any way. 12. Law. This Agreement shall be governed by the laws of the State of California. 2 N:\DATA\Clients\L\LAHWdmin\NorW.agm • • • 13. Notices. Any notice of communication permitted or required .by this Agreement shall be in writing and shall become effective on personal delivery or three (3) days after the mailing thereof by certified mail, return receipt requested, postage prepaid, if to Norton at Town Hall, 26379 Fremont Road, Los Altos Hills, California 94022 and if to Town to City Clerk at Town Hall, 26379 Fremont Road, Los Altos Hills, California 94022. 14. Successors. This Agreement shall be binding on the heirs,beneficiaries,and successors in interest of the parties.
