HomeMy WebLinkAbout41-91 n • • • • RESOLUTION NO. 41-91 RESOLUTION OF THE CITY COUNCIL OF THE TOWN OF LOS ALTOS HILLS APPROVING AND AUTHORIZING EXECUTION OF THE SECOND ADDENDUM TO AGREEMENT FOR AUDIT SERVICES BETWEEN THE TOWN OF LOS ALTOS HILLS AND C.G. UHLENBERG AND COMPANY WHEREAS, the City Council of the Town of Los Altos Hills has entered into an agreement for audit services between the Town and C.G. Uhlenberg & Company, a California general partnership on May 19, 1989 (the "Agreement") and a First Addendum to the Agreement; and WHEREAS, the City Council has read and considered that Second Addendum to the Agreement; NOW, THEREFORE, the City Council of the Town of Los Altos Hills does RESOLVE as follows: Section 1. Public interest and convenience require the Town' s entering into a Second Addendum to the Agreement for a change in the fiscal year and a change in rates of compensation to be paid, and the City Council hereby approves the Second Addendum to the Agreement, a copy of which is attached hereto as Exhibit A. Section 2 . The Town of Los Altos Hills shall enter into and the Mayor is hereby authorized and directed on behalf of the Town to execute the Second Addendum to the Agreement. Passed and adopted this 17th day of July , 1990. / May ATTEST: City Cler PB\MAS\1494908L.W50 • • • • SECOND ADDENDUM TO AGREEMENT FOR AUDIT SERVICES THIS SECOND ADDENDUM TO AGREEMENT FOR AUDIT SERVICES is made and entered into effective as of Jul July 1, 1991 by and between THE TOWN OF LOS ALTOS HILLS, a municipal corporation ("Town") and C.G. UHLENBERG AND COMPANY, a California general partnership ("Accountant") . RECITALS A. On or about May 19, 1989, Town and Accountant entered into an Agreement for Audit Services for the fiscal year 1988-1989 (the "Agreement") . B. On or about July 1, 1991 Town and Accountant entered into a First Addendum to the Agreement. C. The parties now desire to enter into a Second Addendum to the Agreement to provide for a change in the fiscal year and a change in the rates of compensation set out in the Agreement. NOW, THEREFORE, Town and Accountant agree as follows: 1. The fiscal year referred to in Sections 1 and 2 of the Agreement is hereby amended to read "fiscal year 1990-1991. " 2 . Section 2 (a) of the Agreement is hereby amended to read as follows: (a) Following the close of each calendar month, Accountant shall render an invoice to Town for services performed during the preceding calendar month, in accordance with the following Schedule of Charges. Such invoices shall be paid within thirty (30) days. Schedule of Charges Job Title Hourly Rate Partner $100 - $120 Manager $ 70 - $ 85 Supervisor $ 50 - $ 65 Staff Accountant $ 45 - $ 48 Clerical $35 $450 for reproduction costs 3 . Section 2 (b) of the Agreement is hereby amended to read as follows: • • • • (b) Provided, however, the total amount to be paid to Accountant for services performed and costs incurred shall not exceed a total of Seven Thousand One Hundred and Seventy Dollars ($7, 170) for services to be performed under Paragraph 1, unless prior approval has been given, in writing, by the City Council. 4 . No other changes are made in the Agreement, except as set forth herein, and the Agreement is hereby ratified and confirmed.
