I, Side II, 239-456 Mayor Perkins called the Special Meeting of the City Council to order at 3:05 p.m. in the Council Clambers of Town Hall. A. ROLL CALL AND PLEDGE OF ALLEGIANCE: Present: mayor Perkins and Councilmrmbers Allison and Hillestad Absent: Councilmmbers Proft and van Ta len Staff: City Manages Ann Hinshaw, City Attorney Frank Gillio and City Clerk Pat Dowd Press: Mary Duenwald, Peninsula Times Tribune; Florence Pallakoff, Los Altos Town Crier and Ed Hering, San Jose Mercury ` B. MATADERO CREEK SUBDIVISION - OFFERS ON LOTS AND RELATED MATTERS: �r 1. Lot 414 Jackye Wolfe, Fox & Carskadon, reported that she had received an offer on o wr 8 down and a close of escrow sixty days frau acceptance. MOTION SECONDED AMID CARRIED: moved by Allison, seconded by Hillestad and passed unanimously by all menders present to adopt P�solution #1521 author- izing execution and delivery of deed, and accepting deed of trust and author- izing recordation thereof concerning Lot #14, Tract No. 7187, Matadero Creek Subdivision. 2. lot #15 Jackye Wolfe, Fox & Carskadon, reported that the potential buyer for Lot #15 d accepted Council's counteroffer of $284,000 which was presented on January 11, 1983. MOTION SECONDED AMID CARRIED: Moved by Allison, seconded by Hillestad and passed unanimously by all menbers present to adopt Hesolution #1522 author- izing execution and delivery of deed, and accepting deed of trust and author- izing reoordation thereof concerning Lot #15, Tract No. 7187, Matadero Creek Subdivision. Lot #5 Jackye Wolfe, Fox & Carskadon, reported that she had received an offer on lot #5 of $220,000 with a 258 downpayment and a close of escrow on March 15, 1983. Council discussed the terms of sale included with this offer with particular attention to the provision that 'any amount of cash paid prior to or within 12 months of close of escrow, over and above 258 of original purchase price be applied towards discount credit on the basis of 108 discount of purchase price as presently offered by the seller and given to previous buyers.' council noted that this issue had been addressed in Council policy; however, Council did not think it appropriate to include this item in the terms of sale. M7rION SE02UED Zao CARRIED: Moved by Allison, seconded by Hillestad and passed unanimously by all members present to present a counter-offer for Lot #5 accepting the terms with the deletion of the following statement: 'Any amount of cash paid prior to or within 12 months of close of escrow, over and above 258 of original purchase price to be applied towards discount credit on the basis of 108 discount of purchase price as presently offered by seller and given to previous buyers.' 4. Lot #1 Jadcye Wolfe, Fox & Carskadon, presented a request from the buyers of lot #1 at the date for the loan contingency removal be changed from January 21, 1983 to February 15, 1983. It was also noted that the close of escrow date would then change from January 28 to February 25, 1983. This request was being made because of a delay in the completion of a complete set of plans from their builder and architect. MOPION SEODMED AND CARRIED: Moved by Allison, seconded by Hillestad and passed unanimously by all members present to grant the request for an extension from January 21, 1983 to February 15, 1983 with the clear understanding that no additional extensions would be granted. C. LMBIMIA LIABILITY INSURANCE AND RELATED MATTERS: The City Manager reported that in December 1982 the Town's umbrella liability insurance carrier, Covenant Mutual, had given the the Town notice of cancella- tion. The Tbwn's insurance broker, Flamer & Cacpany, had obtained three pro- posals to continue this coverage and the proposals were before Council for their review. The broker's recommendation with which staff concurred was the Chicago Insurance Company with an increase in errors and omissions from $300,000 to $500,000. In addition Chicago Insurance Cmpany agreed to issue a $2 million umbrella for $2,400 annually if the primary general liability insurance with INA were increased from $500,000 to $1,000,000 -2- CITY COUNCIL MINUTES - January 25, 1983 The City Manages, in response to a request from Flamer & Company, gave an update on the 12/28/82 letter written by Mr. Tarshes concerning the improvement of safety on E1 Monte between the Foothill College entrance and Moody Road. The City Manager reported that warning signs had been posted, warnings on the pavement would be completed in the near future, construction of a railing was being investigated and improvement of road alignment and/or grade would be reviewed as a long term project. MOTION SEODMED AND CARRIED: Mould by Allison, seconded by Hillestad arta passed unanimously by all members present to authorize the City Manager to execute insurance contract with Chicago Insurance Company, including the increase in errors and emissions to $500,000 and the increase in the primary general liability insurance with INA to $1 million. •• a• • • • n•�aa is i • The City Manager noted that the Council had before them a supplemental agree- ment with the PAUSD which had been approved by the District Board of Wucation at their January 18, 1983 meeting. In addition the supplemental agreement had been reviewed by Marty Tarshes and the City Attorney and each had submitted reports which were before Council. Frank Saul, 27977 Via Ventana, asked Council if anyone had considered partial reccnveyances and was infonred that this was included in the supplemental agreement. MDTION SECONDED AMID CARRIED: Moved by Allison, seconded by Hillestad and passed unanimously by all members present to adopt Resolution #1523 approving and authorizing execution of a supplemental agreement between the City of the Tum of Ins Altos Hills and the Palo Alto Unified School District, and authorizing execution and delivery of note and deed of trust.
