UHLENBERG & CO, A PARTNERSHIP RESOLVED, by the City Council of the City of the Town of Los Altos Hills , County of Santa Clara, State of California, that WHEREAS , the City Council of the City of the Town of Los Altos Hills has read and considered that certain Agreement for Audit Ser- vices between the City of the Town of Los Altos Hills and Robert E. Barsanti, Robert E. Engstrom, Robert E. McDonald and Peggy Au, part- ners doing business under the firm name and style of C.G. UHLENBERG & CO. , a partnership, for examination. of the accounts and financial statement records of the City for the fiscal year 1985-86 , NOW, THEREFORE, IT IS HEREBY FOUND, ORDERED AND DETERMINED as follows : 1. Public interest and convenience require the entering into of an Agreement for Audit Services; and the City of the Town of Los Altos Hills hereby approves the hereinabove described Agreement. 2 . The City of the Town of Los Altos Hills shall enter into, and the Mayor and City Clerk of the City of the Town of Los Altos Hills be, and they and each of them hereby is authorized and directed on behalf of said City, respectively, to execute and attest the above described Agreement for Audit Services . REGULARLY passed and adopted this 16th day of July, 1986 . ACTING MAYOR ATT (71:/) CITY CLE AGREEMENT FOR AUDIT SERVICES THIS AGREEMENT, made and entered into by and between Robert E. Barsanti, Robert E. Engstrom, Robert E. McDonald and Peggy Au, part- ners doing business under the firm name and style of C.G. UHLENBERG & CO. , a partnership, herein called "ACCOUNTANT" , and the CITY OF THE TOWN OF LOS ALTOS HILLS, a Municipal Corporation of the State of California, herein called "TOWN" , WITNESSET H: WHEREAS, TOWN desires to contract for necessary examination of the accounts and financial records of TOWN; and WHEREAS, ACCOUNTANT is willing to perform the herein described professional services upon the terms and conditions herein set forth, • NOW, THEREFORE, in consideration of the mutual promises, coven- ants and agreements herein set forth, the parties do hereby, agree as follows: 1. ACCOUNTANT shall perform the following professional services in connection with the fiscal year 1985-86: (a) Perform an examination and audit of the financial state ments of TOWN in accordance with generally accepted auditing standards , including but not limited to the recommendations of the American Institute of Certified Public Accounts and the National Committee on Govern- mental Accounting. The examination and audit shall include TOWN's eight (8) operating funds and five (5) special assessment district funds and ACCOUNTANT shall provide: i. Statement of Cash Balances and Cash Receipts and Disbursements broken down by TOWN Funds, -411 ii. Comparison of receipts with the estimated amount of receipts estimated by TOWN in its budget. iii. Comparison of disbursements with amounts budgeted by TOWN, and iv. Cash Balances of each Fund of the TOWN and of what such balances consist, v. Statement of Receipts and disbursements for TOWN Assessment Districts. (b) Perform an examination and audit of the federal revenue sharing transactions of TOWN in accordance with the Federal Revenue Sharing Program' s audit and reporting requirements. (e) Perform a review of the TOWN's system of internal con- trol, including an evaluation of TOWN's operating and accounting procedures , and prepare a "Management Letter" notifying TOWN of any discrepancies or irregularities which are discovered during the course of this review, together with any recommendations concerning changes to correct any inefficiencies or weaknesses in inter- nal procedures which are discovered in connection with this review. (d) Assist TOWN to obtain an unqualified auditor's opinion concerning its financial statements. 2. ACCOUNTANT shall prepare and furnish to TOWN twenty (20) copies each of the Audit Report, Federal Revenue Sharing Report and 1 Management Letter, respectively, on or before September 30, 1986. Prior to completing the services herein provided, ACCOUNTANT shall consult with TOWN to determine that all required information is included in the financial statements. -2- 111 • • Any exceptions proposed to be taken in the Audit Report or in the Federal Revenue Sharing Report, or in either of them, shall be called to TOWN's attention prior to its issuance in order that TOWN may provide appropriate guidance to ACCOUNTANT concerning any pro- posed exceptions. 3. TOWN shall pay ACCOUNTANT in full for all auditing services performed in connection with the fiscal year 1985-86 , as follows: (a) Following the close of each calendar month, ACCOUNT- ANT shall render an invoice to TOWN for services performed during the preceding calendar month, in accordance with the following Schedule of Charges, and which invoice shall be paid upon approval there- of by the City Council ,to wit: Schedule of Charges Job Title Hourly Rate Partner $ 90.00 Audit Manager 70.00 Staff Person 40. 00-55. 00 (b) Provided, however, the total amount to be paid to CON- SULTANT for services performed and costs incurred shall not exceed a total of Five Thousand Two Hundred Fifty Dollars ($5 ,250) unless prior approval therefor has been given, in writing, by the City Council. 4. ACCOUNTANT is willing to perform the same professional ser- vices as outlined above for TOWN for the fiscal years 1986-87 and 1987-88, respectively, if requested by TOWN in writing to do so not later than sixty (60) days prior to the end of the fiscal year in- volved. If TOWN requests ACCOUNTANT to perform services for either 1986-87 or 1987-88 fiscal year, the compensation to be paid therefor -3- • 411 • • shall be agreed upon by TOWN and ACCOUNTANT in an addendum to the within Agreement. In order to assure continuity, ACCOUNTANT shall assign the same personnel, or as many of the same personnel who continue to be employed by ACCOUNTANT as possible, to perform the professional services required under this Agreement if ACCOUNTANT is requested to perform them for the 1986-87 or 1987-88 fiscal year, as the case may be. 5. All professional services to be provided shall be performed by ACCOUNTANT, or members of his staff, under the direct supervision of ACCOUNTANT. This Agreement may be terminated by either party upon written notice to the other party, in the event of substantial failure of performance by such other party. 6. Upon request of TOWN, ACCOUNTANT shall make available the personnel who perform professional services under this Agreement to consult with the City Manager, or other members of the administra- tive staff or officials of TOWN. 7. ACCOUNTANT shall indemnify and hold harmless the City of the Town of Los Altos Hills, its officers , employees and agents from and against any and all claims , demands, causes of action, orders, decrees or judgments for injury, or death, or damage to person or property, loss, damage and liability (including all costs and attorney' s fees incurred in defending any claim, demand or cause of action) occasioned by, growing out of, or arising or resulting from its negligent acts or the negligent act of its agents or employees. 8. ACCOUNTANT shall take out and maintain during the entire term of this Agreement professional liability insurance and shall file with the City Clerk of TOWN, a Certificate of the professional liability insurance. -4- • • 9 . ACCOUNTANT is an independent contractor and not an agent, li subagent, or employee of TOWN. ACCOUNTANT shall not assign or trans- fer its interest in this Agreement without the written consent of TOWN. 10 . TOWN and ACCOUNTANT, and each of them, each bind themselves, their respective successors, legal representatives and assigns to the other party to this Agreement, and to the respective successors, legal representatives and assigns of such other party in respect to all covenants of this Agreement.
